Related policies and transaction-specific schedules are incorporated where clearly disclosed and applicable.
Contractual provisions, prices and schedules presented before a transaction are to be interpreted alongside mandatory Philippine law. Nothing herein deprives any person of a non-waivable statutory or regulatory right.

PHILIPPINE LEGAL FRAMEWORK
These provisions are interpreted consistently with applicable Philippine law, including Republic Act No. 11967 (Internet Transactions Act of 2023) and its implementing rules; Republic Act No. 7394 (Consumer Act of the Philippines); Republic Act No. 8792 (Electronic Commerce Act); Republic Act No. 10173 (Data Privacy Act of 2012) and its implementing rules; and the Civil Code of the Philippines. Payment and financial-service arrangements are also subject, to the extent applicable to the relevant person or provider, to Republic Act No. 11127 (National Payment Systems Act), Republic Act No. 11765 (Financial Products and Services Consumer Protection Act), Bangko Sentral ng Pilipinas regulations, payment-network requirements, and other binding rules. These references do not assert that ARCAMOR holds a banking, e-money, remittance or operator-of-payment-system license. Mandatory consumer, privacy and regulatory rights prevail over any inconsistent provision.
SUBSTANTIVE TERMS AND CONDITIONS
These User Terms and Conditions ("Terms") govern your access to and use of the Must Celebrate mobile application, website and related services ("Must Celebrate" or the "Platform").
Must Celebrate is owned and operated by ARCAMOR TECHNOLOGIES OPC ("ARCAMOR", "we", "us" or "our").
By creating an account, accessing applicable Platform features, confirming a booking or otherwise accepting these Terms electronically, you agree to these Terms and the applicable incorporated policies.
PART I – USE OF MUST CELEBRATE
1. PURPOSE OF MUST CELEBRATE
Must Celebrate is a technology and marketplace platform designed to help Users create, plan, organize and manage celebrations and events, discover and communicate with Vendors, request quotations, book eligible products and services, make payments, manage guests, use eligible Gift Fund features, share Moments and access other Platform functionality.
2. ELIGIBILITY
You must be at least eighteen (18) years old and have the legal capacity required under applicable law to enter into transactions through Must Celebrate.
Where a person uses Must Celebrate on behalf of another person, organization or entity, that person represents that they have appropriate authority to do so.
ARCAMOR may establish additional eligibility requirements for particular Platform features.
2A. INTERNATIONAL ACCESS AND SERVICE SCOPE
Must Celebrate may be accessed and used by eligible Users located inside or outside the Philippines. Access from outside the Philippines does not guarantee that all Platform features, Vendors, payment methods, Gift Fund functions, payout options, promotions or other services will be available in every country or territory.
Vendor services offered through Must Celebrate may be limited to locations or service areas supported by the applicable Vendor. ARCAMOR may restrict, modify or disable particular features in a jurisdiction where reasonably necessary because of applicable law, payment-provider requirements, sanctions, security, fraud prevention, operational limitations or other legitimate reasons.
Users accessing Must Celebrate from outside the Philippines remain responsible for complying with laws applicable to them, while transactions facilitated by ARCAMOR remain subject to these Terms and the applicable Must Celebrate policies.
3. USER ACCOUNT
You are responsible for:
- providing materially accurate information;
- maintaining the confidentiality and security of your account credentials;
- activities undertaken through your account where reasonably attributable to you;
- and promptly notifying ARCAMOR of suspected unauthorized account access.
You must not impersonate another person or create an account using materially false information.
4. ELECTRONIC COMMUNICATIONS
You agree that ARCAMOR may communicate with you electronically regarding your account, bookings, payments, security, policies, complaints and Platform operations.
Communications may be delivered through the Platform, email, push notification or other contact methods associated with your account.
PART II – MARKETPLACE ROLE
5. MARKETPLACE ROLE
Must Celebrate provides technology and marketplace infrastructure connecting Users with independent Vendors.
Unless expressly stated otherwise for a particular service, ARCAMOR is not the underlying provider of the Vendor's catering, venue, photography, entertainment, styling, transportation, products or other Vendor goods or services.
6. CONTRACT BETWEEN USER AND VENDOR
When a User confirms a Vendor booking through Must Celebrate, the underlying agreement for the Vendor's goods or services is ordinarily between the User and the applicable Vendor, subject to:
- these Terms;
- the confirmed booking;
- the applicable Cancellation, Rescheduling & Refund Policy;
- and other transaction-specific conditions accepted through Must Celebrate.
ARCAMOR remains responsible for its own obligations as Platform operator.
6A. NO FIDUCIARY OR ADVISORY RELATIONSHIP
Except to the extent expressly required by applicable law or expressly assumed by ARCAMOR in writing, use of Must Celebrate does not create a fiduciary, trustee, professional-advisory, agency or similar special relationship between ARCAMOR and a User. Platform tools, planning suggestions, recommendations, rankings, alerts and other informational features are provided to assist Users and do not replace the User's own review and judgment.
7. VENDOR INFORMATION AND VERIFICATION
ARCAMOR may require Vendors to submit identity, business, tax, permit, licensing, portfolio or other verification information.
Verification measures are intended to improve marketplace trust but do not constitute a guarantee that a Vendor will perform perfectly or that all information supplied by a Vendor will remain accurate at all times.
Users should review Vendor listings and booking information before confirming a transaction.
7A. VERIFICATION, BADGES AND PLATFORM INDICATORS
Any verification badge, identity indicator, business-status label, responsiveness indicator, ranking, popularity label, quality designation or similar Platform marker is provided for informational and marketplace-administration purposes only. It does not constitute an endorsement, warranty or guarantee by ARCAMOR regarding a Vendor, its goods or services, future performance, safety, quality, suitability, availability or legal compliance.
Users remain responsible for reviewing the material Vendor and booking information presented through Must Celebrate before confirming a transaction.
8. VENDOR LISTINGS
Vendor listings may contain information supplied by Vendors, including:
- pricing;
- photographs;
- descriptions;
- packages;
- availability;
- capacity;
- locations;
- inclusions;
- exclusions;
- and service conditions.
Vendors are responsible for the material accuracy of their listings.
ARCAMOR may review, restrict or remove listings that violate Platform requirements.
PART III – BOOKINGS
9. BOOKING METHODS
Must Celebrate may support:
- instant booking;
- Vendor-confirmed booking;
- quotation-based booking;
- customized booking;
- package booking;
- or other booking methods.
A booking becomes confirmed when the conditions displayed through the applicable booking process have been satisfied.
10. BOOKING DETAILS
Before confirming a booking, Users should review material transaction details including:
- Vendor;
- service or product;
- event date;
- event location;
- scope;
- quantity or guest count;
- price;
- payment schedule;
- applicable fees;
- and applicable cancellation, rescheduling and refund conditions.
11. BOOKING VALUE
"Booking Value" means the total confirmed price of the underlying Vendor goods and/or services booked through Must Celebrate, excluding separately identified User-facing Platform or payment-related fees unless expressly stated otherwise.
12. BOOKING DOWNPAYMENT
Unless another payment arrangement is displayed, Must Celebrate may establish a standard Booking Downpayment equal to thirty percent (30%) of the Booking Value.
The Booking Downpayment forms part of the Booking Value.
A Booking Downpayment is not automatically non-refundable.
Its refundability is determined under the applicable Cancellation, Rescheduling & Refund Policy ("CRR Policy"), Category Schedule, confirmed booking and applicable law.
PART IV – PRICING AND FEES
13. VENDOR PRICING
Vendors establish or approve the prices of their underlying goods and services, subject to Platform requirements.
The confirmed Booking Value shall be displayed before the User completes the applicable booking process.
13A. CURRENCY
Prices, Booking Values, User-facing fees and other transaction amounts displayed through Must Celebrate are shown in Philippine pesos (PHP / ₱), unless Must Celebrate expressly displays otherwise for a particular non-transactional reference. Accessing the Platform from outside the Philippines does not change the Philippine-peso denomination of a Must Celebrate transaction.
A User's bank, card issuer, wallet provider or other financial institution may apply its own foreign-exchange conversion, cross-border charge or related fee where the User pays from an account denominated in another currency. Such third-party conversion rates and charges are outside ARCAMOR's control.
14. VENDOR PLATFORM FEE
ARCAMOR may charge Vendors a Must Celebrate Platform Fee ("Platform Fee") in connection with eligible transactions facilitated through the Platform.
The Platform Fee is governed by the contractual relationship between ARCAMOR and the Vendor, including the applicable Vendor Fee Schedule.
Unless expressly disclosed otherwise to the User, the Vendor Platform Fee is an obligation of the Vendor to ARCAMOR and is not a separate additional charge payable by the User.
The Vendor's obligation to pay a Platform Fee does not make ARCAMOR the supplier of the Vendor's underlying goods or services.
15. USER-FACING FEES
ARCAMOR may separately charge Users a:
- service fee;
- processing fee;
- administrative fee;
- payment-related fee;
- or another applicable Platform charge,
- where permitted by applicable law.
Any User-facing fee payable to ARCAMOR shall be separately identified or otherwise appropriately disclosed before the User confirms the relevant payment or transaction.
A User-facing fee is separate from the Vendor Platform Fee unless expressly stated otherwise.
16. PAYMENT-PROCESSING FEES
Payments may be processed by third-party payment providers.
Where payment-processing or similar transaction costs are passed to the User, the applicable amount or calculation method shall be disclosed as required before payment confirmation.
Third-party payment costs are separate from the Vendor Platform Fee.
17. PRICE CHANGES
A confirmed Booking Value shall not ordinarily be increased without the User's agreement.
Additional charges may arise where the User requests:
- additional services;
- additional guests;
- upgrades;
- scope changes;
- date changes;
- location changes;
- or other modifications.
Any material additional charge should be disclosed before the User confirms the modification.
17A. PROMOTIONS, VOUCHERS, CREDITS AND PROMO CODES
Must Celebrate may offer promotional codes, vouchers, referral credits, discounts, fee waivers or similar promotional benefits subject to the conditions displayed for the applicable promotion, including eligibility, validity periods, usage limits, category restrictions, minimum-spend requirements, permitted combinations and other stated conditions.
Unless expressly stated otherwise, promotional benefits have no cash value, are non-transferable and may not be exchanged for cash. ARCAMOR may refuse, cancel, suspend or correct a promotional benefit where reasonably necessary because of error, fraud, abuse, duplicate use, manipulation, technical malfunction or violation of the applicable promotional conditions.
Where a transaction is refunded, the refund shall ordinarily be based on the amount actually paid by the User after application of valid discounts or credits, subject to the applicable CRR Policy, transaction terms and mandatory law. Promotional value itself is not refundable in cash unless expressly stated or required by law.
17B. PRICING, AVAILABILITY, BOOKING AND SYSTEM ERRORS
ARCAMOR may correct an obvious pricing error, calculation error, duplicate booking, incorrect availability, inventory or capacity error, synchronization failure, discount error, payment-display error or other material technical or system mistake affecting a Platform transaction.
Where an error materially affects a pending or confirmed booking, ARCAMOR may, after reasonable review and notice where practicable, correct the affected information, request reconfirmation, reverse or cancel an affected transaction, or facilitate another reasonable resolution. Any amount collected for a transaction that is properly voided because of such an error shall be handled in accordance with the applicable Payment & Payout Policy, CRR Policy and mandatory law.
Nothing in this clause permits ARCAMOR or a Vendor to use an alleged system error as a pretext to avoid a valid transaction or mandatory consumer right.
PART V – PAYMENTS
18. PAYMENT THROUGH MUST CELEBRATE
Where Must Celebrate provides an in-Platform payment method for a booking, Users should make payment through the payment mechanism designated by the Platform.
Payments may be processed through third-party payment providers.
19. PAYMENT SCHEDULES
Must Celebrate may support:
- Booking Downpayment plus balance;
- installment payments;
- full payment;
- or another payment schedule.
The applicable schedule shall be presented as part of the transaction.
20. EARLY FULL PAYMENT
Where available, a User may elect to pay the entire Booking Value before the event.
The User's early payment does not necessarily mean that the entire Vendor Proceeds are immediately released to the Vendor.
Must Celebrate may administer Vendor payout according to its applicable Payment & Payout Policy to provide reasonable protection against Vendor cancellation, no-show, non-performance, refunds or other transaction risks.
21. PAYMENT VERIFICATION
A booking or payment may remain subject to payment-provider confirmation, fraud screening, security verification or other reasonable transaction checks.
22. PAYMENT RECORDS
Must Celebrate may maintain electronic records relating to:
- payments;
- Booking Value;
- User-facing fees;
- refunds;
- adjustments;
- and other transaction information.
PART VI – CANCELLATION, RESCHEDULING AND REFUNDS
23. CRR POLICY
Bookings through Must Celebrate are subject to the applicable Must Celebrate Cancellation, Rescheduling & Refund Policy ("CRR Policy").
The CRR Policy is incorporated by reference and forms an integral part of these Terms and the booking framework.
24. CATEGORY-SPECIFIC CRR SCHEDULE
Different Vendor categories may have different cancellation and refund rules reflecting differences in:
- date reservation;
- production;
- customization;
- perishability;
- materials;
- staffing;
- inventory;
- and other legitimate commercial factors.
The applicable Category Schedule shall be displayed or made reasonably accessible before booking confirmation.
25. POLICY VERSION
The version of the CRR Policy and Category Schedule applicable when the booking is confirmed shall ordinarily govern that booking.
A subsequent amendment shall not ordinarily be applied retroactively where doing so would materially alter existing cancellation, rescheduling or refund rights or obligations.
26. USER CANCELLATION
A User may request cancellation through Must Celebrate's designated cancellation mechanism.
The financial consequences shall be determined under the applicable CRR Policy and Category Schedule.
27. VENDOR CANCELLATION
Where a Vendor cancels or cannot provide the confirmed service, the User's rights shall be determined under the CRR Policy and applicable law.
A User shall not ordinarily be subject to a User cancellation charge where the cancellation is properly attributable to the Vendor.
28. RESCHEDULING
Users may request rescheduling subject to:
- Vendor availability;
- the applicable CRR Policy;
- the confirmed booking;
- and any legitimate additional costs arising from the requested change.
Material additional charges shall be disclosed before confirmation of the rescheduled booking.
29. REFUNDS
Refund entitlement shall be determined according to:
- the applicable CRR Policy;
- Category Schedule;
- confirmed booking;
- circumstances giving rise to the refund;
- these Terms;
- and applicable law.
30. REFUND OF USER-FACING FEES
The refundability of a User-facing service, processing or other ARCAMOR fee shall depend upon:
- the nature of the fee;
- the stage of the transaction;
- the reason for cancellation;
- the applicable CRR Policy;
- the relevant transaction disclosure;
- and applicable law.
Where a Vendor cancels or materially fails to perform, ARCAMOR may refund applicable User-facing fees associated exclusively with the failed booking where appropriate or legally required.
31. NON-WAIVABLE RIGHTS
Nothing in these Terms or the CRR Policy limits rights or remedies that cannot lawfully be excluded or restricted.
PART VII – PLATFORM TRANSACTION INTEGRITY
32. KEEPING PLATFORM-ORIGINATED TRANSACTIONS ON MUST CELEBRATE
Must Celebrate provides marketplace discovery, booking, payment and transaction infrastructure.
Users should complete Platform-originated bookings and payments through Must Celebrate where the Platform provides the applicable transaction mechanism.
33. DIRECT COMMUNICATION WITH VENDORS
Must Celebrate does not prohibit Users from communicating directly with Vendors for legitimate event-related purposes.
Users and Vendors may communicate directly for matters including:
- food tastings;
- venue inspections;
- ocular visits;
- measurements;
- consultations;
- technical discussions;
- delivery;
- transportation;
- event-day coordination;
- logistics;
- and emergencies.
The restriction concerns deliberate circumvention of a Platform-originated commercial transaction, not ordinary communication between User and Vendor.
34. OFF-PLATFORM PAYMENT REQUESTS
A User should exercise caution where a Vendor requests that a Must Celebrate-originated booking be cancelled or moved outside the Platform principally so the Vendor can avoid the applicable Platform Fee, Platform payment process or other marketplace requirements.
Users are encouraged to report such requests to Must Celebrate.
35. USER PARTICIPATION IN FEE AVOIDANCE
A User shall not knowingly cooperate with a Vendor in:
- falsely cancelling a valid booking;
- materially understating the Booking Value;
- falsely representing that no transaction occurred;
- or moving substantially the same transaction outside Must Celebrate
- where the principal purpose is to avoid the Vendor's properly applicable Platform Fee or other Platform requirements.
36. NO USER LIABILITY FOR VENDOR PLATFORM FEE
A User does not become responsible for paying a Vendor's Platform Fee merely because a Vendor violates its contractual obligations to ARCAMOR.
ARCAMOR's recovery of an avoided Vendor Platform Fee shall ordinarily be pursued against the Vendor responsible for that obligation, unless the User independently owes an amount under separately disclosed User-facing terms or applicable law.
37. FALSE CANCELLATIONS
Users must not knowingly submit false cancellation information for the purpose of disguising an off-Platform transaction.
Nothing in this provision prevents a legitimate cancellation under the CRR Policy.
PART VIII – GIFT FUND
38. GIFT FUND
Must Celebrate may provide functionality allowing eligible persons to contribute money toward an event or celebration ("Gift Fund").
Gift Fund functionality may be subject to separate Must Celebrate Gift Fund Terms & Policy.
39. CONTRIBUTIONS
Contributors shall be shown material payment information before completing a contribution.
ARCAMOR may use third-party payment providers to process Gift Fund transactions.
40. GIFT FUND FEES
Where ARCAMOR charges a service, processing or other fee in connection with a Gift Fund transaction, that charge shall be appropriately disclosed before payment confirmation.
Gift Fund fees are separate from Vendor Platform Fees.
PART IX – USER CONTENT AND COMMUNICATIONS
41. USER CONTENT
Users may be permitted to upload or submit:
- photos;
- videos;
- messages;
- reviews;
- event information;
- guest information;
- and other content.
42. CONTENT RESPONSIBILITY
Users are responsible for content they submit and must have appropriate rights or authority to submit it.
Users must not knowingly upload unlawful, fraudulent, infringing, malicious or seriously harmful content.
43. CONTENT MODERATION
ARCAMOR may use automated systems and human review to detect or respond to:
- spam;
- fraud;
- scams;
- illegal content;
- abusive material;
- and violations of Platform rules.
44. MESSAGING
Platform messaging may be used for legitimate event planning and transaction communication.
Users must not use messaging for fraud, harassment, unlawful activity or deliberate transaction circumvention.
PART X – REVIEWS AND RATINGS
45. REVIEWS
Eligible Users may submit reviews and ratings based on genuine experiences.
Reviews should be truthful and should not contain knowingly false or unlawful content.
46. REVIEW MODERATION
ARCAMOR may remove or restrict reviews that violate Platform standards, including fraudulent, manipulated, irrelevant or unlawful reviews.
ARCAMOR does not guarantee that every negative review will be removed merely because a Vendor disputes it.
PART XI – PROHIBITED USER ACTIVITIES
47. PROHIBITED ACTIVITIES
Users must not:
- commit fraud;
- impersonate another person;
- use stolen or unauthorized payment instruments;
- manipulate bookings or reviews;
- knowingly submit false claims;
- abuse refund or chargeback processes;
- interfere with Platform security;
- upload unlawful content;
- use Must Celebrate for prohibited transactions;
- or deliberately circumvent material Platform transaction requirements.
PART XII – PRIVACY AND SECURITY
48. PRIVACY
Personal information is processed in accordance with the applicable Must Celebrate Privacy Policy and Philippine data-protection requirements.
49. SECURITY
Users should protect account credentials and promptly notify ARCAMOR of suspected unauthorized access or payment activity.
PART XIII – INTELLECTUAL PROPERTY
50. ARCAMOR INTELLECTUAL PROPERTY
Must Celebrate's software, Platform design, branding, logos, databases, interfaces and other proprietary materials are owned by ARCAMOR or its licensors.
51. RESTRICTIONS
Users may not unlawfully copy, reproduce, reverse engineer, exploit or misuse protected Must Celebrate technology or intellectual property.
PART XIV – COMPLAINTS AND DISPUTES
52. USER COMPLAINTS
Users may submit complaints concerning bookings, Vendors, payments, refunds or Platform issues through Must Celebrate's designated support or complaint mechanism.
53. PLATFORM DISPUTE ASSISTANCE
ARCAMOR may review relevant Platform evidence and facilitate resolution of disputes between Users and Vendors.
ARCAMOR's involvement does not make ARCAMOR the provider of the underlying Vendor service.
54. EVIDENCE
ARCAMOR may consider relevant evidence including:
- booking records;
- Platform communications;
- payment records;
- photographs;
- delivery records;
- quotations;
- invoices;
- and other relevant transaction information.
55. EXTERNAL REMEDIES
Nothing in Must Celebrate's internal complaint process prevents a User from exercising non-waivable rights before competent government authorities, courts or other legally available forums.
PART XV – PLATFORM OPERATION
56. PLATFORM AVAILABILITY
ARCAMOR seeks to maintain reliable Platform operation but does not guarantee uninterrupted or error-free availability.
Maintenance, security incidents, third-party outages, technical failures or circumstances beyond ARCAMOR's reasonable control may temporarily affect availability.
57. THIRD-PARTY SERVICES
Must Celebrate may integrate with third-party:
- payment providers;
- mapping services;
- authentication providers;
- cloud services;
- communication services;
- and other technologies.
Third-party services may be governed by their own applicable terms and policies.
57A. AI-ASSISTED FEATURES AND RECOMMENDATIONS
Must Celebrate may provide artificial-intelligence-assisted planning tools, recommendations, suggested timelines, budgets, checklists, service ideas, Vendor suggestions, content assistance, moderation tools or other automated outputs. Such outputs are provided for convenience and informational purposes only.
AI-generated or automated outputs may be incomplete, inaccurate, outdated or unsuitable for a particular Event. They do not constitute legal, financial, medical, safety, dietary, engineering or other professional advice. Users remain responsible for independently verifying material information, including Vendor prices, availability, scope, capacity, location, suitability, safety requirements and booking conditions before relying on or acting upon an output.
An AI-generated recommendation, ranking or suggestion does not constitute an endorsement, guarantee or warranty by ARCAMOR of a Vendor, product, service or particular Event outcome.
57B. BETA, PILOT AND EARLY-ACCESS FEATURES
Certain Platform functions may be designated beta, pilot, experimental, preview or early access. Such features may be incomplete, contain errors, change materially, operate with limited availability or be suspended or discontinued. To the extent permitted by applicable law, ARCAMOR does not guarantee uninterrupted availability, accuracy or continued support for such features.
PART XVI – LIABILITY AND USER RESPONSIBILITY
VENDOR AND PLATFORM DISCLAIMERS
ARCAMOR operates MUST CELEBRATE as a technology and marketplace platform connecting Users with independent Vendors. To the extent permitted by law, ARCAMOR does not guarantee and makes no representations regarding the accuracy, quality, legality, safety, suitability, availability, or outcome of any Vendor services, or the accuracy of Vendor-provided content.
ARCAMOR does not guarantee booking outcomes, successful delivery, client satisfaction, Vendor sales, revenue, profit, or other business results. Vendors remain responsible for their goods, services, personnel, permits, representations, and performance, and Users remain responsible for reviewing material booking information before confirming a transaction. These disclaimers do not exclude liability or consumer rights that cannot lawfully be excluded under Republic Act No. 7394, the Civil Code of the Philippines, or other applicable law.
NO FIDUCIARY DUTY OR ADVISORY ROLE
Nothing in these Terms or the operation of MUST CELEBRATE creates a fiduciary duty, trustee relationship, professional advisory obligation, general duty of care beyond duties imposed by applicable law, or other special relationship between ARCAMOR and a User, Vendor, Host, Contributor, or other participant. Platform tools, planning features, recommendations, rankings, alerts, automated moderation, and artificial-intelligence-assisted outputs are provided for convenience and informational purposes only and are not professional advice. Users and Vendors remain responsible for independently verifying material information and exercising their own judgment. This provision does not exclude any duty or liability that cannot lawfully be excluded or limited.
58. VENDOR PERFORMANCE
Vendors remain primarily responsible for the goods and services they provide.
ARCAMOR does not guarantee that every Vendor transaction will be free from delay, disagreement or service failure.
59. LIMITATION OF LIABILITY
To the extent permitted by applicable law, ARCAMOR shall not be liable for indirect, incidental, special or consequential losses arising solely from the independent acts or omissions of Vendors or Users.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
60. USER RESPONSIBILITY AND INDEMNITY
To the extent permitted by law, a User may be responsible for losses or third-party claims materially resulting from the User's unlawful conduct, fraud, willful misconduct or material breach of these Terms.
PART XVII – ACCOUNT RESTRICTION AND TERMINATION
61. SUSPENSION
ARCAMOR may temporarily restrict or suspend an account where reasonably necessary because of:
- suspected fraud;
- unauthorized activity;
- security risk;
- material breach;
- payment abuse;
- harassment;
- unlawful activity;
- or other material Platform risk.
61A. ACCOUNT-LEVEL SANCTIONS AND RESTRICTIONS
Depending on the nature, severity, frequency and risk of the conduct involved, ARCAMOR may apply proportionate account-level measures including education or warning, a compliance notice, manual review, temporary booking restriction, limitation of a particular Platform feature, restriction of discretionary promotional benefits, temporary suspension or permanent termination, subject to applicable law.
The availability of graduated measures does not prevent ARCAMOR from imposing an immediate restriction or suspension where reasonably necessary to protect Users, Vendors, funds, Platform security, transaction integrity or compliance obligations.
62. TERMINATION
ARCAMOR may terminate access for serious or repeated violations, subject to applicable law.
63. EFFECT OF TERMINATION
Termination does not automatically extinguish valid obligations associated with transactions occurring before termination.
Existing bookings, refunds or disputes may continue to be administered as reasonably necessary.
63A. RECORDS FOLLOWING ACCOUNT CLOSURE OR TERMINATION
Account closure, suspension or termination does not require ARCAMOR to immediately delete transaction, booking, payment, refund, Gift Fund, security, fraud-prevention, complaint, dispute, tax, accounting or other records that ARCAMOR is required or permitted to retain under applicable law, the Must Celebrate Privacy Policy, payment-provider requirements or legitimate recordkeeping needs.
PART XVIII – CHANGES TO THESE TERMS
64. ARCAMOR'S RIGHT TO AMEND
ARCAMOR reserves the right, at its discretion and to the extent permitted by applicable law, to amend, revise, supplement, replace or otherwise modify these Terms and applicable incorporated policies from time to time whenever ARCAMOR considers such changes necessary or appropriate for the operation, development, security or protection of Must Celebrate, its Users, Vendors or legitimate business interests.
Changes may arise from:
- changes in applicable law or regulation;
- regulatory guidance;
- Platform development;
- new or modified products and features;
- business operations;
- marketplace practices;
- payment arrangements;
- security requirements;
- fraud prevention;
- consumer protection;
- commercial conditions;
- or other legitimate operational requirements.
65. NOTICE OF CHANGES
The then-current version of these Terms shall be made reasonably accessible through Must Celebrate.
Where required by applicable law or where ARCAMOR determines a change is material, ARCAMOR may provide notice through:
- the Platform;
- email;
- electronic notification;
- or another reasonable means.
66. EFFECTIVE DATE OF AMENDMENTS
Unless otherwise required by applicable law, amendments shall become effective on the effective date stated in the revised Terms and shall generally apply prospectively.
A confirmed booking shall ordinarily remain subject to the material transaction terms applicable when it was confirmed where a subsequent change would materially alter accrued cancellation, refund, payment or other contractual rights or obligations.
ARCAMOR may apply changes to existing transactions where required by applicable law, government requirement, security necessity, fraud-prevention requirement or where the change does not materially prejudice an accrued contractual right.
67. CONTINUED USE
Continued use of Must Celebrate following the effective date of revised Terms constitutes acceptance of the revised Terms for subsequent Platform use and transactions, subject to any additional consent required by applicable law.
PART XIX – INCORPORATED POLICIES
68. INCORPORATED POLICIES
68A. USER-FACING APPLICATION OF PAYMENT & PAYOUT POLICY
The Must Celebrate Vendor Payment & Payout Policy is incorporated to the extent it governs User payments, payment verification, User-facing fees, refunds, reversals, chargebacks, payment-provider processing, transaction records, and other matters directly applicable to Users. Vendor-only payout, reserve, withholding, and Vendor-remittance obligations do not become User obligations merely by such incorporation.
These Terms shall be read together with applicable Must Celebrate policies, which may include:
1. Must Celebrate Privacy Policy
2. Cancellation, Rescheduling & Refund Policy and applicable Category Schedule
3. Must Celebrate Gift Fund Terms & Policy
4. Community and Content Standards
5. transaction-specific terms presented before booking or payment
6. other User-facing policies expressly incorporated by ARCAMOR
The Vendor Fee Schedule and Vendor Payment & Payout Policy primarily govern the contractual relationship between ARCAMOR and Vendors and do not impose Vendor obligations directly upon Users unless a relevant User-facing provision is expressly incorporated into these Terms.
PART XX – ORDER OF PRECEDENCE
69. ORDER OF PRECEDENCE
69A. SUBJECT-MATTER HARMONIZATION
Subject always to mandatory applicable law, conflicts shall be resolved according to subject matter. Transaction-specific terms expressly accepted through MUST CELEBRATE govern the specific transaction unless prohibited by law. The Must Celebrate Cancellation, Rescheduling & Refund Policy and applicable Category Schedule govern cancellation, rescheduling, no-show, non-performance, and refund entitlement. The Vendor Fee Schedule governs Vendor Platform Fee calculation and treatment. The Must Celebrate Vendor Payment & Payout Policy governs payment collection, allocation, retention, payout, chargeback, and refund administration. The Must Celebrate Gift Fund Terms & Policy governs Gift Fund contributions, balances, permitted use, withdrawals, unused balances, and Gift Fund-specific restrictions. The Must Celebrate Privacy Policy governs personal-data processing. The Must Celebrate User Terms and Conditions govern the general relationship between ARCAMOR and Users, and the Must Celebrate Vendor Terms & Marketplace Agreement governs the general relationship between ARCAMOR and Vendors. General Platform guidance ranks last. Where two provisions address different aspects of the same transaction, they shall be applied together rather than treated as conflicting.
Subject always to mandatory applicable law, where provisions applicable to a User transaction conflict, the following order shall ordinarily apply:
1. Mandatory applicable law
2. Transaction-specific terms expressly accepted by the User through Must Celebrate
3. Applicable CRR Policy and Category Schedule for cancellation, rescheduling and refund entitlement
4. These User Terms and Conditions
5. Other incorporated User-facing policies
6. General informational Platform guidance
A Vendor's private terms shall not override Must Celebrate terms accepted by the User unless those terms were properly disclosed and permitted through Must Celebrate and are consistent with applicable law.
PART XXI – GENERAL LEGAL TERMS
70. ELECTRONIC ACCEPTANCE
The User agrees that electronic acceptance, including clicking:
- "I Agree";
- "Accept";
- "Confirm Booking";
- "Confirm & Pay";
- or another equivalent electronic acceptance mechanism,
- may evidence agreement to the applicable Terms, policies and transaction conditions to the extent permitted by law.
FORCE MAJEURE AND FORTUITOUS EVENTS
To the fullest extent permitted by applicable Philippine law, including Article 1174 of Republic Act No. 386 (Civil Code of the Philippines), ARCAMOR and MUST CELEBRATE shall not be liable for delay, interruption, failure, suspension, or non-performance caused directly by an event beyond their reasonable control that could not reasonably have been foreseen or, though foreseen, could not reasonably have been avoided or overcome. Such events may include severe typhoons, earthquakes, floods, fire, epidemic or pandemic restrictions, war, civil disturbance, terrorism, widespread transportation or telecommunications failure, prolonged utility outage, government prohibition, emergency order, failure of critical third-party infrastructure, or comparable events.
This clause does not excuse fraud, willful misconduct, gross negligence, obligations that cannot lawfully be excluded, or liability where ARCAMOR materially caused or aggravated the loss. ARCAMOR shall use commercially reasonable efforts to mitigate the effect of a Force Majeure Event and resume affected Platform functions when reasonably practicable. Where the event affects an underlying Vendor booking, cancellation, rescheduling, refund, and allocation of documented non-recoverable costs shall remain governed by the Must Celebrate Cancellation, Rescheduling & Refund Policy and applicable law.
71. GOVERNING LAW
ARBITRATION
Except for matters that cannot lawfully be submitted to arbitration, disputes that remain unresolved after the applicable internal dispute process may, where the parties validly agree in writing, be resolved by arbitration in accordance with Republic Act No. 9285, Republic Act No. 876 where applicable, and applicable Philippine arbitration rules. The legal seat and exclusive arbitral venue shall be the City of Santa Rosa, Laguna, Philippines. The arbitration proceedings shall be conducted in the English language. Unless the parties validly agree otherwise, the tribunal shall consist of one (1) arbitrator. The arbitral award shall be final and binding to the extent permitted by law and may be enforced in a court of competent jurisdiction. Nothing in this clause prevents a party from seeking urgent interim or conservatory relief from a competent court, nor does it restrict any non-waivable consumer, regulatory, privacy, or statutory remedy.
PHILIPPINE STATUTORY COMPLIANCE
These Terms and the applicable Must Celebrate policies shall be interpreted and administered in accordance with the laws of the Republic of the Philippines, including Republic Act No. 386 (Civil Code of the Philippines), Republic Act No. 7394 (Consumer Act of the Philippines) where applicable to consumer transactions, Republic Act No. 10173 (Data Privacy Act of 2012) for personal-data processing, Republic Act No. 9285 (Alternative Dispute Resolution Act of 2004) where arbitration or other ADR is validly used, and other applicable statutes, regulations, and mandatory rules. Nothing in these Terms waives or limits a right, remedy, jurisdiction, complaint mechanism, or protection that cannot lawfully be waived or restricted.
These Terms shall be governed by the laws of the Republic of the Philippines.
72. DISPUTE RESOLUTION
Users are encouraged to first use Must Celebrate's designated complaint or support process for Platform-related disputes.
Nothing in this provision prevents exercise of non-waivable legal rights or access to competent government authorities or courts.
73. SEVERABILITY
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in effect to the extent permitted by applicable law.
74. NO WAIVER
Failure by ARCAMOR to enforce a provision on a particular occasion does not constitute a waiver of ARCAMOR's right to enforce that provision subsequently.
75. ASSIGNMENT
Users may not assign rights or obligations relating to an account or confirmed booking where doing so would materially affect transaction integrity without appropriate authorization.
ARCAMOR may assign or transfer its rights and obligations in connection with a corporate restructuring, merger, acquisition, sale of business or transfer of the Must Celebrate business, subject to applicable law.
76. ENTIRE USER CONTRACTUAL FRAMEWORK
These Terms, together with the incorporated User-facing policies and applicable transaction-specific terms, constitute the contractual framework governing the User's use of Must Celebrate.
76A. SURVIVAL
Termination, closure of an account or cessation of Platform use does not extinguish provisions that by their nature or express terms are intended to continue, including accrued payment and refund obligations, chargebacks, indemnity obligations, intellectual-property protections, lawful record retention, dispute provisions, governing law, anti-circumvention obligations applicable to pre-termination transactions and other rights or obligations that arose before termination.

78. USER DECLARATION
By accepting these Terms, the User confirms that the User:
- has read or has been provided reasonable access to these Terms;
- has been provided access to applicable incorporated policies;
- understands that underlying Vendor goods and services are ordinarily provided by independent Vendors;
- understands that applicable fees and material booking conditions will be presented through the relevant transaction flow;
- and agrees to comply with applicable Must Celebrate requirements.
79. ACCEPTANCE
By clicking "I Agree," "Accept," "Create Account," "Confirm Booking," "Confirm & Pay," or another equivalent electronic acceptance mechanism, or by continuing to use applicable Must Celebrate services after these Terms become effective, the User agrees to be bound by these Terms and applicable incorporated User-facing policies, subject to applicable law.
ACCOUNT, IDENTITY AND TRANSACTION SAFEGUARDS
80. Optional Mobile Number and Feature-Specific Verification
At initial User registration, an email address is ordinarily required and a mobile number may be optional. ARCAMOR may require confirmation of email ownership and additional verification, including mobile one-time-password (OTP) validation, before higher-risk features such as a first paid booking, Gift Fund cash withdrawal, or registration under an Ambassador incentive program are enabled.
Users must not share OTP codes or create duplicate or fictitious accounts. Personal information collected for verification is governed by the Privacy Policy and applicable legal retention requirements.
81. Transparent Amount Paid and Fee Breakdown
Booking details shall separately identify (a) Confirmed Service Price, (b) applicable Must Celebrate Processing Fee for each payment, (c) actual Total Amount Paid inclusive of the charged fee, and (d) Outstanding Service Balance. Fees not yet incurred must not be presented as amounts already paid.
A service charge of ₱6,720 together with a separately disclosed ₱20 processing fee results in a ₱6,740 payment for a single full-payment transaction. If a 30% deposit and 70% balance are charged as two separate payment transactions, two separately disclosed ₱20 fees may apply; the full fee schedule must be shown before payment authorization.
82. Referral Code and Ambassador Attribution
An Ambassador referral may be attributed through a QR code, referral link or referral code. Referral attribution does not entitle a User or Ambassador to a payment, bonus or other reward unless the separately published Ambassador terms and verification controls are met. Fraudulent or self-referrals may be rejected.
83. Event Invitations and Guest Privacy
Hosts shall share invitation links and guest data only for appropriate event-management purposes; optional contributor display names and contribution messages shall be handled under the Privacy Policy. No User shall disclose another person’s full Gift Fund history or sensitive financial information without appropriate authority.
ACCEPTANCE
By selecting an affirmative electronic acceptance control when creating an account or using a feature that requires acceptance, the User acknowledges having been given reasonable access to these User Terms & Conditions and the applicable incorporated Must Celebrate / MC policies.
The User agrees to comply with these Terms in connection with the relevant account activity and transactions. Transaction-specific fees, Vendor service conditions and Category Schedules shall be presented and accepted through the applicable booking or payment flow before they apply. An acknowledgment shall not be interpreted as consent to personal-data processing for which separate consent is required by applicable law.
POLICY INTERPRETATION, CHANGES AND STATUTORY RIGHTS
This Policy shall be read and interpreted together with the other applicable Must Celebrate / MC policies, agreements, booking confirmations, transaction-specific terms and disclosures expressly relevant to the User, Vendor, feature or transaction concerned.
Where an expressly disclosed and validly accepted transaction-specific term or applicable Category Schedule conflicts with a general commercial description, the more specific term shall ordinarily govern that transaction, provided it is consistent with mandatory Philippine law. No such term shall override applicable data-privacy requirements or other non-waivable statutory rights.
ARCAMOR TECHNOLOGIES OPC may amend or update this Policy in accordance with applicable law. Updates shall be appropriately dated, made reasonably accessible through Must Celebrate / MC and communicated to affected persons where notification is required.
Unless otherwise required by law or validly agreed by the affected parties, amendments shall apply prospectively and shall not retroactively change confirmed transactions or remove accrued rights and obligations.
Nothing in this Policy excludes, restricts or waives any consumer, privacy, contractual or other statutory right that cannot lawfully be excluded, restricted or waived under the laws of the Republic of the Philippines.
