SUBSTANTIVE TERMS AND CONDITIONS

1. PURPOSE AND SCOPE

These Must Celebrate Gift Fund Terms & Policy ("Gift Fund Policy") govern the creation, funding, use, management, restriction, withdrawal, refund, suspension, and closure of the Must Celebrate Gift Fund ("Gift Fund") made available through the Must Celebrate mobile and tablet application, website, and related services operated by ARCAMOR TECHNOLOGIES OPC ("ARCAMOR", "Must Celebrate", "MC", "we", "us", or "our").

The Gift Fund is intended to provide users with a convenient way to receive monetary contributions from family members, friends, guests, and other contributors in connection with a legitimate event created on Must Celebrate.

The Gift Fund is an event-related feature and is not intended to operate as a general-purpose person-to-person money transfer service.

Use of the Gift Fund is subject to this Gift Fund Policy and, where applicable, the following Must Celebrate policies:

Where a Gift Fund transaction is used to pay a Must Celebrate Vendor, the applicable Must Celebrate Vendor Terms & Marketplace Agreement, Payment & Payout Policy, and Cancellation, Rescheduling & Refund Policy shall also apply.

2. DEFINITIONS

For purposes of this Gift Fund Policy:

2.1 Gift Fund

"Gift Fund" means the event-linked functionality made available through Must Celebrate that allows eligible Contributors to provide monetary contributions for a specific Event created on the Platform.

2.2 Host

"Host" means the verified Must Celebrate User who creates or controls an Event and is authorized to activate and manage the Gift Fund associated with that Event.

2.3 Contributor

"Contributor" means a person who provides money to a Gift Fund associated with an Event.

2.4 Event

"Event" means the celebration, gathering, occasion, activity, or other legitimate event registered or created through Must Celebrate and to which the Gift Fund is linked.

2.5 Gift Fund Balance

"Gift Fund Balance" means the amount recorded by Must Celebrate as available in connection with a particular Gift Fund, subject to pending transactions, payment-provider settlement, reversals, refunds, chargebacks, holds, compliance reviews, applicable fees, and other adjustments.

2.6 KYC

"KYC" or "Know Your Customer" refers to identity and account verification procedures that may be required by Must Celebrate, its payment service providers, financial institutions, or applicable law before certain Gift Fund functions are permitted.

2.7 Payment Service Provider

"Payment Service Provider" means any third-party payment processor, bank, electronic money issuer, payment gateway, financial institution, or other authorized service provider used by Must Celebrate to process Gift Fund transactions.

3. NATURE OF THE GIFT FUND

The Must Celebrate Gift Fund is designed specifically to support legitimate Events created on the Platform.

A Gift Fund must be associated with an identifiable Event and Host.

The Gift Fund shall not be used as:

Must Celebrate may impose restrictions on the receipt, use, transfer, withdrawal, or availability of Gift Fund balances in accordance with this Policy.

3A. NO SAVINGS, INVESTMENT, ESCROW, FIDUCIARY OR ADVISORY RELATIONSHIP

The Gift Fund is a Platform feature for Event-related contributions and permitted transactions. It is not a bank account, savings account, investment product or interest-bearing deposit. Unless expressly required by applicable law, the availability of Gift Fund functionality does not create a fiduciary, trustee, investment-advisory or professional-advisory relationship between ARCAMOR and a Host or Contributor.

Gift Fund balances and transactions remain subject to payment-provider settlement, reversals, chargebacks, holds, verification, risk review, permitted-use restrictions, refunds and the other conditions of this Policy. ARCAMOR does not provide investment, financial-planning or tax advice concerning Gift Fund contributions or withdrawals.

4. ELIGIBILITY TO CREATE A GIFT FUND

A Host must maintain an eligible Must Celebrate account and comply with the Platform's applicable account and verification requirements.

Must Celebrate may require the Host to provide or verify information including:

Must Celebrate may decline, suspend, restrict, or deactivate Gift Fund functionality until required verification has been satisfactorily completed.

4A. AGE REQUIREMENT

A Host must be at least eighteen (18) years old to create, activate, manage, use or withdraw from a Gift Fund. A Contributor using Gift Fund payment functionality must also be at least eighteen (18) years old and have legal capacity to authorize the applicable payment transaction.

5. CONTRIBUTIONS

Contributors may make monetary contributions to an active Gift Fund using payment methods supported by Must Celebrate and its Payment Service Providers. A minimum contribution of ₱100 is required for every Gift Fund transaction. A ₱20 Must Celebrate processing fee will apply to each contribution.

Unless otherwise displayed by Must Celebrate, the following standard limits shall apply:

Control — Standard Limit - Minimum contribution: ₱100 - Maximum contribution per transaction: ₱50,000 - Maximum contribution by one Contributor per Event: ₱100,000 - Maximum contribution by one Contributor per day: ₱50,000 - Maximum contribution by one Contributor across Must Celebrate within any rolling 30-day period: ₱100,000 - Standard maximum Gift Fund received per Event: ₱250,000 - Maximum Gift Fund received by one Host across all Events within any rolling 30-day period: ₱250,000 - Maximum Gift Fund balance per Host: ₱250,000

Must Celebrate may apply lower limits where required for security, risk management, Payment Service Provider requirements, account verification status, transaction history, Event characteristics, or other legitimate operational or compliance reasons.

Reaching a transaction limit does not create an entitlement to an increased limit.

6. CUMULATIVE TRANSACTION MONITORING

Transaction limits shall not be assessed solely on an individual transaction basis.

Must Celebrate may monitor and aggregate Gift Fund activity across:

Contributor → Event → Host → Payment Instrument → Account → Platform → Rolling Time Period

Accordingly, multiple smaller transactions may be treated as related activity for purposes of transaction limits, fraud prevention, risk assessment, or compliance review.

Must Celebrate may monitor cumulative activity even where no individual transaction exceeds a particular threshold.

Attempts to divide or structure transactions for the purpose of avoiding transaction limits, verification requirements, review thresholds, or other Platform controls are prohibited.

7. STANDARD EVENT LIMIT

The standard maximum amount that may be received by a Gift Fund for a single Event is ₱250,000.

Once the applicable Event limit has been reached, Must Celebrate may automatically stop accepting additional contributions for that Event.

Existing funds may remain subject to applicable use, withdrawal, refund, verification, risk-review, and other requirements.

A Host shall not create multiple Events for the purpose of circumventing the Event limit, Host limit, withdrawal limit, or any other Gift Fund control.

8. HIGHER LIMIT REQUESTS

Gift Fund limits above the standard limits are not automatically available.

Where Must Celebrate permits requests for increased limits, the Host may be required to undergo enhanced review and provide additional information concerning:

A requested higher limit shall not become effective unless expressly approved.

Must Celebrate reserves the right to decline any request for an increased Gift Fund limit.

9. USE OF GIFT FUND BALANCE

Subject to availability and the applicable Platform functionality, Gift Fund balances may be used for purposes permitted by Must Celebrate.

Permitted uses may include:

9.1 Payment to Approved Must Celebrate Vendors

The Host may use available Gift Fund balance to pay for eligible services booked from Vendors registered on Must Celebrate. The applicable Vendor Platform Fee will apply based on the total service or contract value. A ₱20 Must Celebrate processing fee will also apply to each payment transaction.

VENDOR PLATFORM FEE RESPONSIBILITY

Where Gift Fund balance is used to pay an eligible Vendor booking, the Vendor remains responsible for the applicable Vendor Platform Fee in accordance with the Must Celebrate Vendor Terms & Marketplace Agreement and Vendor Fee Schedule. The Vendor Platform Fee is not a separate additional charge to the Host, Contributor, or User unless a distinct User-facing charge is expressly disclosed and lawfully imposed. A separate ₱20 Must Celebrate Processing Fee applies to the Gift Fund payment transaction, together with any separately disclosed third-party Payment Provider Fee.

Any Vendor booking made using Gift Fund shall remain subject to the applicable:

9.2 Withdrawal by the Verified Host

Where withdrawal functionality is available, an eligible and verified Host may request withdrawal of an available Gift Fund balance subject to the requirements, limits, identity-verification procedures, fraud controls, transaction monitoring, compliance review, payment-provider requirements, Event Protection Period, and other conditions contained in this Policy.

A minimum withdrawal amount of ₱500 shall apply.

A ₱20 Must Celebrate Processing Fee charged by ARCAMOR shall apply to each completed withdrawal transaction, unless waived or otherwise stated by ARCAMOR.

9.2.1 Pre-Event Withdrawal Restriction

To protect Contributors against fraudulent, fictitious, cancelled, or non-occurring Events, a Host shall not ordinarily be permitted to withdraw Gift Fund balances as cash before the scheduled Event date.

Before the Event, available Gift Fund balances may instead be used, where enabled, to pay eligible and verified Vendors for legitimate Event-related bookings made through Must Celebrate in accordance with this Policy and the Payment & Payout Policy.

The restriction on pre-Event cash withdrawal is intended to preserve the connection between contributed funds and the Event for which the Gift Fund was created.

9.2.2 Event Protection Period

Cash withdrawal of the remaining eligible Gift Fund balance shall ordinarily become available only after the expiration of seven (7) calendar days following the scheduled Event date.

This period shall be referred to as the Event Protection Period.

The Event Protection Period allows ARCAMOR a reasonable period to identify and review reports that:

Expiration of the Event Protection Period does not automatically require ARCAMOR to release funds where a legitimate review, dispute, restriction, or hold remains unresolved.

9.2.3 Withdrawal Limits

Unless ARCAMOR approves a different limit following additional verification or review, the following standard limits shall apply:

Withdrawal Control — Standard Limit - Minimum withdrawal: ₱500 - Maximum withdrawal per transaction: ₱50,000 - Maximum withdrawal by one Host per calendar day: ₱100,000 - Maximum withdrawal by one Host within any rolling 30-day period: ₱250,000 - KYC before first withdrawal: Mandatory - Withdrawal destination: Verified Host-owned account only - Maximum aggregate withdrawal: Limited to the Host's eligible available Gift Fund balance

ARCAMOR may impose a lower limit, temporary restriction, additional verification requirement, or withdrawal hold where transaction activity is unusual, inconsistent with the Event, or presents elevated fraud, security, payment, compliance, or account-risk concerns.

Multiple withdrawal requests may not be used to circumvent any applicable per-transaction, daily, rolling-period, account, or compliance limit.

9.2.4 KYC and Host Verification

Before a Host may make the first withdrawal, ARCAMOR may require completion of identity verification or KYC requirements appropriate to the transaction and applicable payment-provider requirements.

ARCAMOR may require information or documentation including, where applicable:

ARCAMOR may require re-verification where information changes, a new payout destination is added, unusual activity is detected, transaction limits are approached, or additional verification is reasonably required.

9.2.5 Verified Withdrawal Account

Withdrawals may only be made to an approved bank account, e-wallet, or other supported payout account that is:

The legal name associated with the withdrawal destination may be required to match the verified identity of the Host.

ARCAMOR may reject, delay, or place a hold on a withdrawal where:

f. the transaction, Event, account, or Gift Fund is subject to a refund request, dispute, chargeback, reversal, fraud review, investigation, or compliance review;

g. the payout destination presents security or fraud concerns;

h. the applicable payment provider restricts or rejects the transaction; or

i. additional verification is reasonably required.

ARCAMOR is not required to process a withdrawal to an account owned by a relative, friend, Vendor, employee, nominee, or other third party merely because the Host requests it.

9.2.6 Conditions Before Withdrawal

Before approving or processing a withdrawal, ARCAMOR may require confirmation that:

there is no unresolved refund request, dispute, chargeback, reversal, fraud review, compliance review, investigation, or payment-provider hold affecting the relevant funds;

the receiving account satisfies the Verified Withdrawal Account requirements;

the requested withdrawal is within all applicable transaction and account limits;

the Host has sufficient eligible available Gift Fund balance;

the Host account is in good standing; and

the withdrawal is otherwise permitted under this Policy, the Payment & Payout Policy, applicable payment-provider requirements, and applicable law.

ARCAMOR may request reasonable supporting evidence where necessary to verify the legitimacy of the Event, Host, source or purpose of funds, payout destination, or withdrawal request.

9.2.7 Events That Do Not Materialize

Where ARCAMOR receives credible information that an Event did not occur or may not have been genuine, ARCAMOR may temporarily restrict withdrawal of the affected Gift Fund balance while the circumstances are reviewed.

Depending on the circumstances, ARCAMOR may consider:

Where an Event is determined not to have occurred and there is evidence of fraud, material misrepresentation, or misuse of the Gift Fund, ARCAMOR may continue to restrict withdrawal and may facilitate refunds, reversals, account restrictions, recovery measures, or other remedial action in accordance with this Policy, the Payment & Payout Policy, applicable payment-provider rules, and applicable law.

9.2.8 Postponed or Rescheduled Events

Where an Event is formally postponed or rescheduled through Must Celebrate before withdrawal becomes available, the Event Protection Period shall ordinarily be recalculated based on the new confirmed Event date.

A Host may not characterize an Event as postponed, repeatedly change an Event date, or create replacement Events for the purpose of avoiding Gift Fund restrictions, accelerating withdrawal eligibility, extending access to funds, or circumventing Platform controls.

ARCAMOR may restrict withdrawal where repeated or unusual date changes create reasonable concern regarding the legitimacy of the Event or use of the Gift Fund.

9.2.9 Effect of Refund Requests, Disputes, Chargebacks and Investigations

A pending refund request, Contributor dispute, chargeback, reversal, fraud report, unauthorized-payment claim, Event non-occurrence report, or other legitimate investigation may result in a temporary withdrawal hold on some or all of the affected Gift Fund balance.

Where only a specific contribution or amount is affected, ARCAMOR may restrict only the reasonably affected portion where operationally possible.

ARCAMOR may maintain a hold until the relevant review, dispute, payment-provider process, or investigation has been reasonably resolved.

9.2.10 No Guarantee of Immediate Withdrawal

The display of a Gift Fund balance, available balance, or withdrawal option does not constitute a guarantee that the funds are immediately withdrawable.

A withdrawal remains subject to:

Approval of one withdrawal does not require ARCAMOR to approve a subsequent withdrawal where circumstances have changed or additional review becomes necessary.

9.2.11 No Circumvention of Withdrawal Controls

A Host must not attempt to avoid or circumvent applicable withdrawal controls by:

ARCAMOR may aggregate related transactions, accounts, Events, or withdrawal requests where reasonably necessary to apply the limits and controls contained in this Policy.

10. PERSON-TO-PERSON TRANSFERS PROHIBITED

Gift Fund balances may not be transferred:

Gift Fund balances cannot be transferred or sent as a contribution to another Event's Gift Fund. The "send Gift Fund as another gift" or similar functionality shall be disabled or restricted within the Platform and shall not be permitted unless Must Celebrate expressly introduces such functionality under revised terms and subject to any additional regulatory, compliance, or Payment Service Provider requirements.

11. CONTRIBUTOR IDENTITY AND ANONYMITY

Must Celebrate may allow a Contributor to choose whether their name or contribution is publicly displayed to the Host, Event guests, or other Platform users.

However, fully anonymous payment activity is not permitted where identity or transaction information is required by Must Celebrate or its Payment Service Providers.

A Contributor may therefore appear as anonymous or hidden to other users while Must Celebrate and/or its Payment Service Provider retains transaction, payment, account, and other information required for processing, security, fraud prevention, recordkeeping, dispute management, or applicable legal obligations.

12. COMPLIANCE AND RISK REVIEW

Gift Fund activity may be subject to automated and manual risk review.

As a standard control, Must Celebrate may initiate a manual compliance or risk review when cumulative incoming Gift Fund contributions reach ₱100,000, or when a risk-based trigger occurs, whichever occurs first.

Reaching the threshold does not necessarily indicate wrongdoing. It means additional review may be required before further Gift Fund activity is permitted.

Must Celebrate may temporarily hold, restrict, or delay transactions while such review is being conducted.

13. RISK-BASED REVIEW TRIGGERS

A compliance or risk review may be initiated regardless of transaction amount where Must Celebrate detects activity including, but not limited to:

14. GIFT FUND RISK REPORT

Must Celebrate may maintain internal records and generate a Gift Fund Risk Report or similar administrative record for transactions requiring review.

Such records may include:

Such internal reports are intended for legitimate Platform administration, security, fraud prevention, risk management, compliance, dispute resolution, and other lawful purposes.

15. EVENT CANCELLATION, NON-MATERIALIZATION OR SUSPICIOUS EVENTS

17A. STANDARD TREATMENT OF UNUSED CONTRIBUTIONS

Where an Event is cancelled or determined not to have materialized, unused, unwithdrawn, and uncommitted Gift Fund contributions shall ordinarily be returned or reversed to the original Contributor or original payment source where technically and legally available, subject to payment-provider capability, lawful fees, chargebacks, verification, fraud review, and applicable law. Amounts already validly committed to or used for Vendor bookings are governed by the applicable booking and Must Celebrate Cancellation, Rescheduling & Refund Policy. Amounts already lawfully withdrawn by the verified Host do not automatically become an obligation of ARCAMOR to reimburse from its own funds, except where required by applicable law or where ARCAMOR itself is responsible for the loss. Suspected fraudulent Events may be frozen pending investigation before any release, withdrawal, reversal, or refund.

Gift Fund contributions are associated with a particular Event.

Where an Event is cancelled, does not materialize, is determined to be fraudulent or misleading, or is otherwise subject to investigation, Must Celebrate may temporarily restrict further contributions, withdrawals, or use of the affected Gift Fund.

Must Celebrate may determine the appropriate treatment of remaining or uncommitted Gift Fund balances in accordance with this Gift Fund Policy, the applicable Cancellation, Rescheduling & Refund Policy, Payment & Payout Policy, Payment Service Provider requirements, and applicable law.

Where technically and legally available, Must Celebrate may facilitate the return or reversal of eligible unused and uncommitted contributions to the original Contributor or original payment source.

Funds already validly applied toward Event-related Vendor services may be subject to the applicable Vendor booking, cancellation, rescheduling, and refund rules and may therefore not necessarily be available for return to Contributors.

Must Celebrate may require supporting documentation or conduct an investigation before processing any return, refund, reversal, or release of affected funds.

16. EVENT RESCHEDULING

Where an Event is legitimately rescheduled rather than cancelled, Must Celebrate may allow the Gift Fund to remain associated with the rescheduled Event.

The Host may be required to update the Event date and other Event information.

Must Celebrate may notify Contributors of material Event changes where such functionality is available.

Repeated or unusual Event rescheduling may trigger additional review.

17. REFUNDS, REVERSALS AND CHARGEBACKS

A contribution may be subject to reversal, refund, chargeback, payment dispute, failed settlement, or other adjustment.

Accordingly, a displayed Gift Fund Balance shall not be treated as unconditional or irrevocable until the underlying transaction has been successfully processed and is no longer subject to applicable holds, reversals, disputes, or adjustments.

Where a contribution is reversed after the amount has been credited to the Gift Fund, Must Celebrate may deduct the corresponding amount from the Gift Fund Balance.

Where necessary, Must Celebrate may restrict use or withdrawal of affected funds while a transaction is being investigated.

20. FEES AND CHARGES

20A. FEE TERMINOLOGY

For clarity: (a) the 'Must Celebrate Processing Fee' is the ₱20 User-facing charge stated for the applicable Gift Fund transaction; (b) a 'Payment Provider Fee' means any separately disclosed third-party charge imposed or passed through in connection with PayMongo, a bank, card network, e-wallet, or other payment rail; (c) the 'Vendor Platform Fee' is the Vendor's contractual fee payable to ARCAMOR under the Vendor Fee Schedule; and (d) a 'Vendor Payout Processing Fee' means the applicable ₱20 charge associated with a Vendor payout. These charges are distinct and shall not be described or presented in a manner that materially obscures who bears each fee.

Gift Fund transactions are subject to the following Must Celebrate fees, in addition to any applicable third-party Payment Service Provider charges: (a) ₱20 processing fee for each Gift Fund contribution; (b) ₱20 processing fee for each Gift Fund payment to an eligible Vendor booking, together with the applicable Vendor Platform Fee based on the total service or contract value; and (c) ₱20 processing fee for each Gift Fund withdrawal. The minimum contribution is ₱100 and the minimum withdrawal is ₱500.

The applicable fees shall be disclosed to the User before the relevant transaction is confirmed and shall be governed by the applicable Must Celebrate Vendor Payment & Payout Policy, fee schedule, and transaction interface.

Must Celebrate may revise applicable fees in accordance with its User Terms & Conditions, Payment & Payout Policy, this Gift Fund Policy, and applicable notice requirements.

21. PAYMENT SERVICE PROVIDERS

Must Celebrate may use one or more third-party Payment Service Providers to collect, process, settle, refund, reverse, or disburse Gift Fund transactions.

Use of Gift Fund may therefore also be subject to the operational, security, verification, transaction, settlement, dispute, and other requirements of the applicable Payment Service Provider.

ARCAMOR does not guarantee the continuous availability of any particular payment method, payout method, transaction type, or withdrawal option, as availability may depend on the applicable Payment Service Provider, financial institution, payment network, technical systems, compliance requirements, or other factors outside ARCAMOR’s reasonable control.

22. PROHIBITED ACTIVITIES

Users shall not use Gift Fund to:

23. SUSPENSION, HOLDS AND RESTRICTIONS

Must Celebrate may temporarily or permanently restrict Gift Fund functionality where reasonably necessary to:

A hold or restriction does not necessarily mean that Must Celebrate has determined that unlawful or fraudulent activity occurred.

24. EVENT AND HOST AGGREGATION

Must Celebrate may treat multiple Events associated with the same Host as related for purposes of Gift Fund limits and risk monitoring.

The total Gift Fund amount received by a Host across all Events during any rolling 30-day period shall ordinarily not exceed ₱250,000 unless a higher limit has been expressly approved following applicable review.

Creating additional Events, accounts, profiles, or other arrangements for the purpose of circumventing this limit is prohibited.

25. RECORDKEEPING AND TRANSACTION HISTORY

Must Celebrate may maintain records of Gift Fund activity including:

The collection, processing, retention, and disclosure of personal information shall be governed by the Must Celebrate Privacy Policy and applicable law.

26. CONTRIBUTOR RESPONSIBILITY

Before making a contribution, the Contributor is responsible for reviewing the Event information and confirming that the intended Event and Host are correct.

Contributors must use payment methods they are authorized to use and provide accurate information where requested.

Contributing to a Gift Fund does not grant the Contributor ownership, management rights, or control over the Event.

However, this provision does not limit any refund, reversal, chargeback, consumer protection, or other rights that may apply under this Policy, applicable Payment Service Provider rules, or applicable law.

27. HOST RESPONSIBILITY

The Host is responsible for:

28. NO GUARANTEE OF IMMEDIATE AVAILABILITY

Gift Fund contributions, balances, Vendor payments, withdrawals, refunds, and other transactions may require processing time.

Must Celebrate does not guarantee immediate availability of funds.

Processing may be affected by:

29. RELATIONSHIP WITH THE CANCELLATION, RESCHEDULING & REFUND POLICY

Where Gift Fund money has been used to purchase Vendor services through Must Celebrate, cancellation, rescheduling, non-performance, and refunds relating to those Vendor services shall be governed primarily by the Must Celebrate Cancellation, Rescheduling & Refund Policy and the applicable booking terms.

Where the issue relates specifically to the Gift Fund contribution itself, including failed contributions, Gift Fund restrictions, unused balances, Event non-materialization, or contribution reversals, this Gift Fund Policy shall apply.

Must Celebrate may apply both policies where a transaction involves both a Gift Fund and a Vendor booking.

30. RELATIONSHIP WITH THE PAYMENT & PAYOUT POLICY

The processing of payments and payouts through Must Celebrate is additionally subject to the Must Celebrate Vendor Payment & Payout Policy.

Where Gift Fund is used to pay a Vendor, applicable Platform Fees, processing charges, payout rules, retention arrangements, settlement schedules, and other payment rules shall be governed by the Payment & Payout Policy unless expressly stated otherwise in this Gift Fund Policy.

31. PRIVACY AND DATA PROTECTION

Personal and transaction information collected in connection with Gift Fund shall be processed in accordance with the Must Celebrate Privacy Policy and applicable data-protection requirements.

Information may be processed for purposes including:

Where necessary for these purposes, relevant information may be shared with Payment Service Providers, financial institutions, verification providers, professional advisers, service providers, or competent authorities as permitted or required by applicable law.

32. SYSTEM AND TRANSACTION LIMIT CHANGES

Gift Fund limits are risk-control parameters and may be reviewed periodically.

Must Celebrate reserves the right, subject to applicable law and its contractual obligations, to introduce, increase, reduce, or otherwise modify:

Where appropriate, material changes shall be communicated through the Platform or other reasonable means.

33. AMENDMENTS TO THIS POLICY

ARCAMOR TECHNOLOGIES OPC reserves the right to amend, modify, supplement, replace, or update this Gift Fund Policy where reasonably necessary due to changes in:

Material amendments shall take effect in accordance with applicable notice requirements.

Continued use of Gift Fund after an amendment becomes effective constitutes acceptance of the revised Policy to the extent permitted by applicable law.

34. CONFLICT BETWEEN POLICIES

34B. SUBJECT-MATTER ORDER OF PRECEDENCE

Subject always to mandatory applicable law, conflicts shall be resolved according to subject matter. Transaction-specific terms expressly accepted through MUST CELEBRATE govern the specific transaction unless prohibited by law. The Must Celebrate Cancellation, Rescheduling & Refund Policy and applicable Category Schedule govern cancellation, rescheduling, no-show, non-performance, and refund entitlement. The Vendor Fee Schedule governs Vendor Platform Fee calculation and treatment. The Must Celebrate Vendor Payment & Payout Policy governs payment collection, allocation, retention, payout, chargeback, and refund administration. The Must Celebrate Gift Fund Terms & Policy governs Gift Fund contributions, balances, permitted use, withdrawals, unused balances, and Gift Fund-specific restrictions. The Must Celebrate Privacy Policy governs personal-data processing. The Must Celebrate User Terms and Conditions govern the general relationship between ARCAMOR and Users, and the Must Celebrate Vendor Terms & Marketplace Agreement governs the general relationship between ARCAMOR and Vendors. General Platform guidance ranks last. Where two provisions address different aspects of the same transaction, they shall be applied together rather than treated as conflicting.

This Gift Fund Policy forms part of the Must Celebrate contractual framework.

Where a matter specifically concerns Gift Fund functionality, this Gift Fund Policy shall govern that matter.

Where the matter concerns a Vendor booking, the applicable Must Celebrate Vendor Terms & Marketplace Agreement, Payment & Payout Policy, and Cancellation, Rescheduling & Refund Policy shall also apply.

Where the matter concerns personal information, the Must Celebrate Privacy Policy shall apply.

Nothing in this provision shall exclude rights that cannot lawfully be excluded or limited.

34A. SURVIVAL AND RECORD RETENTION

Closure, suspension or deactivation of a Gift Fund or related account does not extinguish transaction, refund, chargeback, reversal, compliance, verification, dispute or repayment obligations arising before closure. ARCAMOR may retain Gift Fund and related records for the period required or permitted by applicable law, the Must Celebrate Privacy Policy, payment-provider requirements and legitimate fraud-prevention, accounting, audit, dispute or compliance purposes.

FORCE MAJEURE AND FORTUITOUS EVENTS

To the fullest extent permitted by applicable Philippine law, including Article 1174 of Republic Act No. 386 (Civil Code of the Philippines), ARCAMOR or MUST CELEBRATE shall not be liable for delay, interruption, failure, suspension, or non-performance caused directly by an event beyond their reasonable control that could not reasonably have been foreseen or, though foreseen, could not reasonably have been avoided or overcome. Such events may include severe typhoons, earthquakes, floods, fire, epidemic or pandemic restrictions, war, civil disturbance, terrorism, widespread transportation or telecommunications failure, prolonged utility outage, government prohibition, emergency order, failure of critical third-party infrastructure, or comparable events.

This clause does not excuse fraud, willful misconduct, gross negligence, obligations that cannot lawfully be excluded, or liability where ARCAMOR materially caused or aggravated the loss. ARCAMOR shall use commercially reasonable efforts to mitigate the effect of a Force Majeure Event and resume affected Platform functions when reasonably practicable. Where the event affects an underlying Vendor booking, cancellation, rescheduling, refund, and allocation of documented non-recoverable costs shall remain governed by the Must Celebrate Cancellation, Rescheduling & Refund Policy and applicable law.

NO FIDUCIARY DUTY OR ADVISORY ROLE

Nothing in these Terms or the operation of MUST CELEBRATE creates a fiduciary duty, trustee relationship, professional advisory obligation, general duty of care beyond duties imposed by applicable law, or other special relationship between ARCAMOR and a User, Vendor, Host, Contributor, or other participant. Platform tools, planning features, recommendations, rankings, alerts, automated moderation, and artificial-intelligence-assisted outputs are provided for convenience and informational purposes only and are not professional advice. Users and Vendors remain responsible for independently verifying material information and exercising their own judgment. This provision does not exclude any duty or liability that cannot lawfully be excluded or limited.

35. CONTACT AND SUPPORT

Gift Fund questions, complaints, transaction concerns, unauthorized activity reports, refund inquiries, or disputes may be submitted to support@arcamor.com, support@mustcelebrate.com through the official MUST CELEBRATE support channels. ARCAMOR may require reasonable information or supporting documentation before investigating or resolving a Gift Fund matter.

ARBITRATION

Except for matters that cannot lawfully be submitted to arbitration, disputes that remain unresolved after the applicable internal dispute process may, where the parties validly agree in writing, be resolved by arbitration in accordance with Republic Act No. 9285, Republic Act No. 876 where applicable, and applicable Philippine arbitration rules. The legal seat and exclusive arbitral venue shall be the City of Santa Rosa, Laguna, Philippines. The arbitration proceedings shall be conducted in the English language. Unless the parties validly agree otherwise, the tribunal shall consist of one (1) arbitrator. The arbitral award shall be final and binding to the extent permitted by law and may be enforced in a court of competent jurisdiction. Nothing in this clause prevents a party from seeking urgent interim or conservatory relief from a competent court, nor does it restrict any non-waivable consumer, regulatory, privacy, or statutory remedy.

PHILIPPINE STATUTORY COMPLIANCE

These Terms and the applicable Must Celebrate policies shall be interpreted and administered in accordance with the laws of the Republic of the Philippines, including Republic Act No. 386 (Civil Code of the Philippines), Republic Act No. 7394 (Consumer Act of the Philippines) where applicable to consumer transactions, Republic Act No. 10173 (Data Privacy Act of 2012) for personal-data processing, Republic Act No. 9285 (Alternative Dispute Resolution Act of 2004) where arbitration or other ADR is validly used, and other applicable statutes, regulations, and mandatory rules. Nothing in these Terms waives or limits a right, remedy, jurisdiction, complaint mechanism, or protection that cannot lawfully be waived or restricted.

Questions, complaints, transaction concerns, unauthorized activity reports, refund inquiries, or Gift Fund disputes may be submitted through the official Must Celebrate customer support channels.

Must Celebrate may require reasonable information or supporting documentation before investigating or resolving a Gift Fund matter.

36. ACCEPTANCE

By activating, contributing to, managing, using, or withdrawing from a Must Celebrate Gift Fund, the User acknowledges that the User has read, understood, and agreed to this Must Celebrate Gift Fund Terms & Policy and the other applicable Must Celebrate terms and policies.

For Contributors, acceptance may be obtained at the point of contribution.

For Hosts, acceptance may be obtained when the Gift Fund is activated and again where material changes to Gift Fund functionality or terms require renewed acknowledgment.

ADDITIONAL GIFT FUND CLARIFICATIONS

Event-Linked Use and Gift Fund Withdrawal

Gift Fund contributions must be attributable to a genuine Event. Contributions are subject to the limits and tables contained in this Policy. Cash withdrawals are additionally governed by the Gift Fund Withdrawal Terms & Policy (AR-MC-USR-004), including the minimum ₱500, ₱20 per completed withdrawal, verified Host-owned destination, and standard seven-day post-Event protection period.

Pre-Event cash withdrawal is ordinarily restricted, while eligible Gift Fund payments to Vendors may be made through supported MC booking flows and may incur a separately disclosed ₱20 transaction fee.

Contributor Display and Privacy

A Host may see the Gift Fund financial ledger necessary to administer the Event. Contributors may choose available public display settings for their names. Public contributor lists must not expose restricted recipient payout records, contributor payment credentials or confidential financial details.

ACCEPTANCE

By activating or administering an eligible Gift Fund, the Host acknowledges this Gift Fund Terms & Policy, including its disclosed contribution controls, permitted uses, restrictions and applicable processing fees.

By submitting a monetary contribution through the authorized payment flow, the Contributor acknowledges the event, contribution amount, applicable processing fee and transaction-specific disclosures presented before payment authorization. A contribution alone does not authorize the Host to withdraw cash before eligibility under the separate Gift Fund Withdrawal Terms & Policy and applicable payment-provider requirements.

POLICY INTERPRETATION, CHANGES AND STATUTORY RIGHTS

This Policy shall be read and interpreted together with the other applicable Must Celebrate / MC policies, agreements, booking confirmations, transaction-specific terms and disclosures expressly relevant to the User, Vendor, feature or transaction concerned.

Where an expressly disclosed and validly accepted transaction-specific term or applicable Category Schedule conflicts with a general commercial description, the more specific term shall ordinarily govern that transaction, provided it is consistent with mandatory Philippine law. No such term shall override applicable data-privacy requirements or other non-waivable statutory rights.

ARCAMOR TECHNOLOGIES OPC may amend or update this Policy in accordance with applicable law. Updates shall be appropriately dated, made reasonably accessible through Must Celebrate / MC and communicated to affected persons where notification is required.

Unless otherwise required by law or validly agreed by the affected parties, amendments shall apply prospectively and shall not retroactively change confirmed transactions or remove accrued rights and obligations.

Nothing in this Policy excludes, restricts or waives any consumer, privacy, contractual or other statutory right that cannot lawfully be excluded, restricted or waived under the laws of the Republic of the Philippines.
