SUBSTANTIVE TERMS AND CONDITIONS
INTRODUCTION
This Cancellation, Rescheduling & Refund Policy ("CRR Policy") governs cancellations, rescheduling, refunds, no-shows, non-performance and related matters for eligible bookings made through the Must Celebrate mobile and tablet application, website and related technology platform ("Must Celebrate" or the "Platform").
Must Celebrate is owned and operated by ARCAMOR TECHNOLOGIES OPC ("ARCAMOR", "we", "us" or "our").
This CRR Policy forms part of the contractual framework governing bookings made through Must Celebrate and is incorporated by reference into the:
Must Celebrate User Terms and Conditions and Must Celebrate Vendor Terms and Marketplace Agreement.
By confirming a booking through Must Celebrate, the User and Vendor agree to the version of this CRR Policy and applicable Category Schedule identified for that booking.
Nothing in this Policy limits rights or remedies that cannot lawfully be excluded or restricted under applicable Philippine law.
ENTITY AND PLATFORM DISTINCTION
For purposes of this Policy, “Must Celebrate” or the “Platform” refers to the Must Celebrate mobile application, website, related technology, services, and marketplace operated by ARCAMOR.
“ARCAMOR” means ARCAMOR TECHNOLOGIES OPC, the legal owner and operator of Must Celebrate and the contracting entity responsible for the rights, obligations, decisions, fees, refunds, enforcement actions, and other legal or commercial acts attributed to the Platform operator under this Policy.
Accordingly, references to actions taken “through Must Celebrate,” “on Must Celebrate,” or “through the Platform” describe the channel, system, or interface through which an action occurs and do not establish Must Celebrate as a separate legal entity from ARCAMOR.
PART I
GENERAL TERMS APPLICABLE TO ALL BOOKINGS
1. PURPOSE
This Policy is intended to establish a transparent and commercially reasonable framework that balances:
- the User's interest in receiving fair treatment and appropriate refunds;
- the Vendor's legitimate interest in recovering reservation commitments, work performed and non-recoverable costs;
- and ARCAMOR's interest in maintaining a reliable, sustainable and trustworthy marketplace.
2. APPLICATION
This Policy applies to eligible Vendor bookings confirmed through Must Celebrate.
Each booking shall be governed by:
- (a) the General Terms contained in Parts I through VIII of this Policy; and
- (b) the Category Schedule identified under Part IX.
Where a booking contains multiple services, the Platform may apply more than one Category Schedule or the All-in Packages Schedule, as appropriate.
3. CATEGORY ASSIGNMENT
Each Vendor listing shall be assigned to an applicable CRR Category based on the principal nature of the product or service.
ARCAMOR may determine or correct a listing's CRR Category where reasonably necessary.
The applicable Category Schedule shall be displayed or made reasonably accessible before booking confirmation.
4. POLICY VERSION
The CRR Policy and Category Schedule in effect and disclosed when the booking is confirmed shall ordinarily govern that booking.
A subsequent change to this Policy shall not ordinarily retroactively alter an existing confirmed booking.
ARCAMOR may retain electronic records showing the applicable:
Booking ID | Category | CRR Schedule | Policy Version | Date and Time of Acceptance.
5. BOOKING DOWNPAYMENT
Unless another payment arrangement is clearly disclosed, ARCAMOR may establish, through Must Celebrate, a standard Booking Downpayment of thirty percent (30%) of the Booking Value.
The Booking Downpayment secures the Vendor's reservation and forms part of the total Booking Value.
The term Booking Downpayment does not automatically mean non-refundable.
Its refundability shall depend upon this Policy, the applicable Category Schedule, the reason for cancellation, timing, work already performed, committed costs, customization or production status, and applicable law.
6. BOOKING VALUE
"Booking Value" means the total price of the Vendor goods and/or services confirmed through Must Celebrate, excluding separately identified Platform fees or payment-processing charges unless expressly stated otherwise.
7. CANCELLATION CHARGE
A “Cancellation Charge” means an amount that may reasonably be deducted from amounts paid by, retained from, or charged to a User who initiates the cancellation of a confirmed Vendor booking, in accordance with the applicable Category Schedule and this Policy.
Unless otherwise expressly stated in the applicable Category Schedule, the Cancellation Charge is payable for the benefit of the affected Vendor and is intended to reasonably compensate the Vendor for losses, costs, commitments, or work attributable to the User's cancellation, including, where applicable:
- reservation of the event date, time, personnel, equipment, or capacity;
- lost booking opportunities;
- administrative work;
- planning, consultation, design, or preparation already performed;
- materials purchased, reserved, ordered, or committed;
- third-party commitments or non-refundable expenses;
- customization or personalized work;
- production or service preparation already commenced; and
- other reasonable and legitimate costs directly associated with the cancelled booking.
The Cancellation Charge does not constitute a fee payable to ARCAMOR. Any separate Platform Fee, Processing Fee, or other applicable charge payable to or retainable by ARCAMOR in connection with transactions processed through Must Celebrate shall be governed by the Payment & Payout Policy, Vendor Terms & Marketplace Agreement, User Terms and Conditions, or applicable Category Schedule.
Where payment has already been processed through MUST CELEBRATE, the applicable Cancellation Charge may be deducted from the amount otherwise refundable to the User, and the corresponding amount due to the Vendor may be released or credited to the Vendor in accordance with the Payment & Payout Policy and any applicable dispute or payout-hold procedures.
Any remaining refundable amount, after deduction of the applicable Cancellation Charge and any other properly applicable fees or charges, shall be returned to the User in accordance with this Policy and the Payment & Payout Policy.
A Cancellation Charge must be reasonable, proportionate to the circumstances of the cancellation, consistent with the applicable Category Schedule, and subject at all times to applicable law.
8. COMMITTED COSTS
"Committed Costs" means reasonable, documented and non-recoverable costs actually incurred or irrevocably committed by the Vendor specifically for the booking before cancellation.
Examples may include specially purchased materials, customized printing, ingredients, subcontractor deposits, permits or other booking-specific commitments.
A Vendor may be required to substantiate material Committed Costs when relied upon to reduce a refund.
9. CANCELLATION EFFECTIVE DATE
A cancellation is effective when properly submitted through Must Celebrate's designated cancellation mechanism and recorded by the Platform.
A telephone call, text message, social-media message or private communication with the Vendor alone may not constitute formal Platform cancellation.
This requirement allows Must Celebrate to maintain accurate transaction and refund records.
10. CANCELLATION WINDOWS
Unless a Category Schedule provides otherwise, cancellation timing shall generally be measured using the following windows:
Cancellation Window — Timing Before Scheduled Event - Early Cancellation: 31 days or more - Standard Cancellation: 15–30 days - Late Cancellation: 8–14 days - Very Late Cancellation: 7 days or less
The Category Schedules determine the financial consequence applicable to each window.
11. CANCELLATION CHARGE VERSUS COMMITTED COSTS
Where applicable, the Vendor shall not obtain an unreasonable double recovery from both a Cancellation Charge and separately claimed Committed Costs for the same economic loss.
ARCAMOR may adjust calculations where necessary to avoid duplication and produce a reasonable outcome consistent with the applicable Category Schedule.
12. CUSTOMIZED AND PERSONALIZED GOODS
Products created specifically for the User may become progressively less refundable after customization or production begins.
Examples include personalized cakes, engraved jewelry, printed invitations, customized souvenirs, tailored clothing, bespoke décor and other made-to-order goods.
A product being described as "customized" does not eliminate remedies arising from Vendor non-performance, material defects, material misdescription or other rights available under applicable law.
13. PLATFORM FEES
The refundability of separately disclosed Must Celebrate Platform or service fees shall be determined by the applicable User Terms, transaction disclosure, this Policy and applicable law.
A separately disclosed Must Celebrate Processing Fee charged in connection with a completed payment or other transaction is generally non-refundable once the applicable processing service has been performed, including where a User voluntarily cancels a booking, except where otherwise required by applicable law or expressly provided under this Policy.
Notwithstanding the foregoing, ARCAMOR may refund the Processing Fee where the underlying transaction is cancelled due to Vendor non-performance, an error attributable to Must Celebrate, a duplicate or erroneous transaction, or other circumstances in which a refund is required under applicable law.
14. PAYMENT-PROCESSING FEES
Payment-processing fees charged by third-party payment service providers are subject to the applicable provider’s terms, conditions, and refund rules. Such fees may be non-recoverable by ARCAMOR and, to the extent that a fee has actually been incurred and is not returned or credited to ARCAMOR, may be excluded from any amount refunded to the User where permitted by applicable law.
Any applicable Processing Fees, including whether such fees are refundable or non-refundable, shall be appropriately disclosed to the User before or in connection with the relevant transaction and shall remain subject to applicable law.
ARCAMOR may, at its discretion, absorb, waive, or refund any applicable Processing Fees where commercially appropriate or legally required.
15. STATUTORY RIGHTS
Nothing in this Policy eliminates rights arising from defective products, materially misrepresented services, Vendor non-performance, fraud or other circumstances for which applicable law provides a remedy.
PART II
USER-INITIATED CANCELLATION
16. RIGHT TO REQUEST CANCELLATION
A User may request cancellation of a confirmed booking through Must Celebrate.
The financial consequence shall be determined according to the Category Schedule applicable to the booking.
17. DEFAULT USER CANCELLATION FRAMEWORK
Unless otherwise provided by the applicable Category Schedule:
Cancellation Timing — Maximum Standard Cancellation Charge* - 31+ days before event: 10% of Booking Value - 15–30 days: 20% - 8–14 days: 30% - 7 days or less: Up to 50% - Event Day / No-Show: Up to 100%
*Subject to category-specific rules, work already performed, customization, legitimate Committed Costs, applicable law and avoidance of unreasonable double recovery.
These percentages are ceilings for ordinary cancellation, not automatic entitlements in every circumstance.
18. REFUND CALCULATION
Where applicable, the indicative calculation is:
Refund = Amount Paid − Applicable Cancellation Charge − Properly Chargeable Committed Costs − Other Lawfully Non-Refundable Amounts
subject to the applicable Category Schedule and prevention of duplicate recovery.
The refund shall never exceed the amount actually paid by the User.
19. CHANGE OF MIND
Where a User voluntarily cancels because of change of mind, personal preference, budget changes, change in guest count or another reason not attributable to the Vendor, the applicable User cancellation terms shall apply.
20. PARTIAL CANCELLATION
Where only part of a booking is cancelled, ARCAMOR and the Vendor may calculate the refund based on the affected component rather than cancelling the entire transaction.
PART III
VENDOR-INITIATED CANCELLATION
21. VENDOR OBLIGATION TO PERFORM
A Vendor accepting a confirmed booking is expected to perform the agreed service.
Vendor cancellation should occur only for legitimate reasons.
22. VENDOR CANCELLATION
Where a Vendor cancels for a reason attributable to the Vendor and cannot provide the confirmed service, the User shall ordinarily be entitled to:
100% refund of amounts paid for the unperformed Vendor service.
The Vendor shall not impose a cancellation charge upon the User.
Where appropriate, applicable User-facing Platform fees associated exclusively with the failed booking may also be refunded.
23. ALTERNATIVE VENDOR
ARCAMOR may, through Must Celebrate, assist the User in identifying an alternative Vendor.
The User is not required to accept the substitute.
ARCAMOR does not guarantee that an alternative Vendor will be available at the same price, date, location or specification.
24. VENDOR CANCELLATION CONSEQUENCES
A Vendor who accepts a confirmed booking is expected to honor the booking in accordance with the agreed service details, event date, price, and applicable booking terms.
A Vendor-initiated cancellation occurs when the Vendor cancels, refuses to perform, or becomes unable or unwilling to provide the confirmed service, except where the cancellation is caused by circumstances reasonably beyond the Vendor’s control.
Vendor-initiated cancellations may result in corrective or enforcement action by ARCAMOR in accordance with this Policy and the Vendor Terms & Marketplace Agreement.
24.1 User Protection Following Vendor Cancellation
Where a Vendor cancels a confirmed booking, ARCAMOR may, where applicable:
- cancel the affected booking;
- facilitate a refund of amounts paid for the cancelled Vendor service;
- reverse, withhold, recover, or offset any Vendor payout relating to the cancelled booking;
- assist the User in identifying an alternative Vendor available through the Platform;
- waive or refund applicable User-facing fees where appropriate under the Payment & Payout Policy; and
- take other reasonable measures intended to reduce disruption to the User.
A Vendor shall not be entitled to retain a Cancellation Charge arising from the Vendor’s own cancellation.
24.2 Vendor Cancellation Record
Each Vendor-initiated cancellation may be recorded in the Vendor’s account history and may form part of the Vendor’s performance metrics.
In assessing the consequences of a Vendor cancellation, ARCAMOR may consider:
- the number of previous Vendor cancellations;
- the Vendor’s total number of completed bookings;
- how close the cancellation occurred to the event date;
- the reason for cancellation;
- whether the cancellation was reasonably avoidable;
- whether the Vendor promptly informed the User and ARCAMOR;
- whether the Vendor attempted to provide a reasonable alternative;
- the financial or operational impact on the User;
- whether the Vendor had already received any payout;
- whether the Vendor provided misleading availability or accepted a booking that it could not reasonably fulfill; and
- the Vendor’s overall record of compliance with Platform policies.
24.3 Cancellation Consequence Levels
Unless otherwise determined by ARCAMOR based on the seriousness of the circumstances, Vendor cancellations may result in the following graduated consequences:
Level 1 – First Isolated Cancellation
For a first cancellation that does not involve serious misconduct:
- the cancellation shall be recorded in the Vendor’s performance history;
- the Vendor may receive a warning or advisory;
- any unpaid payout relating to the cancelled booking may be withheld or reversed;
- any amount already received by the Vendor in respect of the cancelled service may be subject to recovery or offset; and
- the Vendor may be required to provide an explanation or supporting documentation.
A single justified cancellation would not normally result in suspension.
Level 2 – Repeated or Avoidable Cancellation
Where a Vendor has repeated cancellations, materially avoidable cancellations, or a pattern of unreliable fulfillment, ARCAMOR may:
- reduce the Vendor’s search visibility or ranking;
- temporarily remove promotional placement;
- suspend eligibility for badges, featured listings, campaigns, or promotional programs;
- temporarily restrict the Vendor from accepting new bookings;
- place the Vendor account under performance review;
- require corrective action before booking privileges are restored; and
- impose other reasonable operational restrictions.
Level 3 – Serious or Late Cancellation
A cancellation may be treated as serious where, for example:
- it occurs close to the event date;
- the User is unlikely to reasonably obtain a replacement Vendor;
- substantial payments have already been made;
- the Vendor accepted the booking despite knowing it could not reasonably provide the service;
- the Vendor becomes unresponsive after accepting payment;
- the cancellation causes substantial disruption to the event; or
- the Vendor repeatedly cancels confirmed bookings.
In such cases, ARCAMOR may:
- immediately suspend new bookings;
- temporarily suspend the Vendor account;
- withhold eligible Vendor payouts while the matter is reviewed;
- recover amounts relating to unperformed services;
- remove badges, promotional status, or featured placement;
- permanently record the incident within the Vendor’s internal performance history; and
- require evidence that the cause of the cancellation has been corrected before the Vendor may resume accepting bookings.
Level 4 – Repeated Serious Cancellation or Misconduct
ARCAMOR may suspend or terminate a Vendor’s participation in the Platform where the Vendor:
- repeatedly cancels confirmed bookings without reasonable justification;
- engages in a continuing pattern of unreliable service;
- knowingly accepts bookings it cannot fulfill;
- abandons confirmed bookings;
- retains User funds for services it does not intend or is unable to provide;
- provides materially false reasons for cancellation;
- attempts to circumvent Platform cancellation or refund procedures;
- causes repeated material harm to Users; or
- otherwise commits a material breach of the Vendor Terms & Marketplace Agreement.
Termination may include removal of Vendor listings, loss of access to new bookings, withholding or adjustment of payouts to the extent permitted under the applicable agreements and law, and other Platform enforcement measures.
24.4 Timing of Cancellation
The timing of the Vendor cancellation may affect the severity of the applicable consequence.
As a general Platform guideline:
- cancellation more than 30 days before the event may be treated less severely where adequate notice is given;
- cancellation between 15 and 30 days before the event may result in increased performance consequences;
- cancellation between 7 and 14 days before the event may be treated as a serious cancellation;
- cancellation less than 7 days before the event may be treated as a major service failure; and
cancellation within 48 hours of the event, on the event date, or failure to appear without cancellation may result in immediate account review, suspension, or termination depending on the circumstances.
These periods are guidelines and do not prevent ARCAMOR from imposing a different consequence where justified by the circumstances.
24.5 Cancellation Rate
ARCAMOR may monitor a Vendor’s cancellation rate based on confirmed bookings.
Cancellation rate may be calculated as:
Vendor Cancellation Rate = Vendor-Initiated Cancelled Confirmed Bookings ÷ Total Confirmed Bookings × 100
ARCAMOR may consider cancellation frequency together with booking volume, timing, circumstances, and User impact rather than relying solely on a numerical percentage.
As an internal operating guideline, Vendors may be subject to additional review where their Vendor-initiated cancellation rate exceeds:
- 5% – performance advisory or monitoring;
- 10% – performance review and possible visibility or promotional restrictions;
- 15% – booking restriction or temporary suspension review; or
- a persistent pattern of cancellation regardless of percentage – further enforcement as appropriate.
ARCAMOR may modify these internal thresholds as the Platform develops and obtains sufficient operational data.
24.6 No-Show
A Vendor who fails to attend or provide the confirmed service without prior notice may be treated as having committed a Vendor No-Show.
A Vendor No-Show may be treated more seriously than an ordinary cancellation and may result in:
- immediate suspension of new bookings;
- withholding or recovery of applicable payouts;
- mandatory investigation;
- removal of promotional privileges;
- temporary suspension; or
- termination for repeated or serious incidents.
24.7 Justified Cancellation
A Vendor shall not automatically be penalized where the Vendor demonstrates that the cancellation resulted from circumstances reasonably beyond the Vendor’s control.
Examples may include:
- natural disasters;
- government restrictions;
- serious accidents;
- sudden illness or medical emergency materially preventing performance;
- death or serious family emergency;
- widespread transportation disruption;
- venue closure outside the Vendor’s control;
- severe weather affecting safety or lawful performance;
- acts of God;
- civil disturbance;
- utility or infrastructure failure materially preventing the service; or
- other Force Majeure circumstances recognized under the applicable agreement.
The Vendor must notify ARCAMOR and the User as soon as reasonably practicable and may be required to submit supporting evidence.
ARCAMOR may determine, acting reasonably and based on available information, whether a cancellation should be classified as justified, partially justified, or unjustified for Platform enforcement purposes.
24.8 Alternative Vendor or Substitute Performance
Where commercially appropriate, a Vendor may propose a qualified replacement, substitute professional, replacement equipment, or equivalent solution.
Any substitution affecting the identity, material scope, quality, price, or nature of the service must be disclosed to the User and may require User approval.
Providing an acceptable substitute may be considered by ARCAMOR when determining whether enforcement action is necessary but does not automatically remove the original Vendor’s responsibility for the booking.
24.9 Financial Consequences
Where a Vendor cancels:
- the Vendor is not entitled to payment for services not performed;
- unpaid Vendor proceeds relating to the cancelled service may be withheld;
amounts already paid to the Vendor for unperformed services may be recovered, deducted, or offset against future payouts where contractually and legally permitted;
the Vendor shall not receive a User Cancellation Charge for the Vendor’s own cancellation; and
any separate Platform Fee, Processing Fee, refund cost, chargeback cost, or other financial treatment shall be governed by the Payment & Payout Policy and Vendor Terms & Marketplace Agreement.
24.10 Review and Appeal
Where ARCAMOR imposes a significant restriction, suspension, or termination based on Vendor cancellation conduct, the Vendor may submit an explanation and relevant supporting evidence through the Platform’s designated support or dispute process.
ARCAMOR may review the circumstances and uphold, modify, or remove the enforcement measure as appropriate.
24.11 Platform Discretion and Proportionality
Enforcement measures shall be applied reasonably and proportionately, taking into account the seriousness, frequency, timing, circumstances, and User impact of the Vendor’s cancellations.
Nothing in this Section requires ARCAMOR to apply each enforcement level sequentially. Serious misconduct, fraud, abandonment, User safety concerns, or repeated material breach may justify immediate suspension or termination under the Vendor Terms & Marketplace Agreement.
25. FALSE VENDOR CANCELLATION
A Vendor must not cancel, cause the cancellation of, or falsely represent the cancellation of a booking made through the Platform for the purpose of moving substantially the same transaction outside the Platform, avoiding applicable Platform Fees, bypassing Platform rules, or otherwise circumventing ARCAMOR’s systems, protections, or contractual requirements.
A False Vendor Cancellation may occur where a Vendor represents that a confirmed booking has been cancelled, terminated, changed, or will no longer proceed through the Platform, but substantially the same service, event, or commercial transaction subsequently proceeds directly or indirectly between the Vendor and the User outside the Platform.
25.1 Prohibited Conduct
Prohibited conduct may include, without limitation:
- asking, encouraging, or instructing a User to cancel a Platform booking and pay the Vendor directly;
- cancelling a booking through the Platform while privately agreeing to continue substantially the same service with the User;
- falsely stating that a booking will not proceed when the Vendor intends to perform the service outside the Platform;
requesting payment by cash, bank transfer, e-wallet, payment link, QR code, or another payment method outside the Platform in order to avoid Platform Fees or Platform requirements;
providing a User with personal payment details for the purpose of completing a Platform-originated booking privately;
asking a User to classify a confirmed booking as cancelled, postponed, rescheduled, refunded, or otherwise terminated when the underlying service remains substantially unchanged;
cancelling one Platform booking and immediately creating a substantially similar private arrangement with the same User;
changing the Vendor business name, individual service provider, payment recipient, quotation, package, or invoice solely to disguise continuation of the same transaction outside the Platform;
directing the User to another business, affiliate, employee, contractor, related party, or account controlled by or connected with the Vendor for the purpose of avoiding Platform obligations;
accepting an initial inquiry, quotation request, negotiation, reservation, or confirmed booking through the Platform and subsequently requiring the User to transact privately as a condition of continuing the service;
falsely claiming that ARCAMOR requires the transaction to be completed outside the Platform;
intentionally misrepresenting the reason for cancellation to avoid Platform Fees, refund obligations, performance records, or Vendor cancellation consequences; or
taking any other action designed primarily to avoid fees, payment controls, refund procedures, dispute mechanisms, User protections, Vendor obligations, or other Platform requirements.
25.2 Platform-Originated Transactions
Where a Vendor and User are introduced, matched, connected, quoted, booked, or otherwise brought together through the Platform in relation to a particular service or event, the Vendor must not intentionally use cancellation or another artificial arrangement to remove that transaction from the Platform for the purpose of avoiding applicable fees or obligations.
This restriction applies whether the off-Platform transaction is completed directly by the Vendor or indirectly through an employee, representative, subcontractor, affiliate, related business, alternate account, or other person acting on the Vendor’s behalf.
25.3 Legitimate Cancellations Are Not Circumvention
A genuine cancellation shall not constitute a False Vendor Cancellation merely because the Vendor and User subsequently communicate or enter into a separate transaction, provided that the original Platform booking was genuinely terminated and the later transaction is not substantially the same transaction structured to avoid Platform obligations.
Examples that may constitute legitimate circumstances include:
- the original event is genuinely cancelled;
- the service is no longer required;
- the event date, scope, location, or commercial arrangement materially changes;
- the Vendor is genuinely unable to perform the original booking;
- the User independently engages the Vendor at a later time for an unrelated service;
- the subsequent transaction relates to a materially different event, service, or scope; or
- another legitimate reason exists that is not intended to circumvent ARCAMOR.
ARCAMOR may consider the overall substance of the arrangement rather than the label applied by the Vendor or User.
25.4 Evidence ARCAMOR May Consider
In determining whether a False Vendor Cancellation or circumvention may have occurred, ARCAMOR may consider reasonably available information, including:
- Platform messages or communications;
- booking history;
- cancellation timing and stated cancellation reason;
- payment records;
- quotations or invoices;
- changes to booking details;
- User or Vendor reports;
- evidence that the service was ultimately performed;
- communications requesting direct or external payment;
- repeated patterns of cancellations involving the same Vendor;
- cancellation followed by substantially similar services being provided to the same User;
- use of alternative business names, related entities, payment accounts, or contact details;
- admissions or representations made by either party; and
- other reasonably relevant evidence.
ARCAMOR shall not be required to rely on any single item of evidence and may consider the circumstances as a whole.
25.5 Vendor Cooperation
Where ARCAMOR reasonably suspects a False Vendor Cancellation, the Vendor may be required to provide an explanation and supporting information.
The Vendor must cooperate reasonably with any review, including by providing relevant booking information, cancellation reasons, supporting documents, or other information reasonably required to verify whether the booking was genuinely cancelled.
Failure to cooperate, providing materially false information, or intentionally concealing relevant information may itself constitute a breach of the Vendor Terms & Marketplace Agreement.
25.6 Consequences
Where ARCAMOR reasonably determines that a Vendor has engaged in a False Vendor Cancellation, circumvention, or attempted circumvention, ARCAMOR may take one or more of the following actions:
- issue a warning;
- record the incident in the Vendor’s internal performance history;
- reverse or correct the cancellation record;
- treat the incident as an unjustified Vendor cancellation;
- remove or suspend promotional privileges, badges, or featured status;
- reduce search visibility or ranking;
- temporarily restrict the Vendor from accepting new bookings;
- suspend the Vendor account;
- terminate the Vendor’s participation in the Platform;
- withhold, adjust, recover, or offset amounts otherwise payable to the Vendor where contractually and legally permitted;
- require payment of applicable Platform Fees that would otherwise have been payable had the transaction remained on the Platform;
- recover losses, costs, chargebacks, refunds, or other amounts arising from the circumvention where permitted under the applicable agreement and law; and
- take other reasonable corrective or enforcement action under the Vendor Terms & Marketplace Agreement.
The severity of the consequence may depend on the nature, frequency, financial impact, intentionality, and seriousness of the conduct.
25.7 Repeated Circumvention
Repeated False Vendor Cancellations, repeated requests for Users to transact privately, or a pattern of avoiding Platform Fees or Platform requirements may be treated as a material breach of the Vendor Terms & Marketplace Agreement and may result in immediate suspension or termination.
ARCAMOR is not required to apply progressive enforcement where the conduct is deliberate, fraudulent, repeated, or materially harmful to Users or the Platform.
25.8 User Participation
A Vendor must not request, pressure, incentivize, or require a User to participate in a False Vendor Cancellation or circumvention arrangement.
The fact that a User agrees to transact privately does not relieve the Vendor of responsibility for complying with the Vendor Terms & Marketplace Agreement.
25.9 No Restriction on Genuine Independent Business
Nothing in this Section is intended to prohibit a Vendor from conducting legitimate business outside the Platform generally.
The restriction applies specifically to conduct intended to circumvent ARCAMOR in connection with transactions, Users, bookings, or commercial opportunities originating through the Platform or otherwise subject to the Vendor Terms & Marketplace Agreement.
PART IV
RESCHEDULING
26. USER RESCHEDULING REQUEST
A User may request rescheduling through Must Celebrate.
Rescheduling is subject to Vendor availability.
A rescheduling request does not automatically cancel the original booking.
27. FIRST RESCHEDULING REQUEST
As a Must Celebrate marketplace standard, Vendors should reasonably accommodate one User-requested rescheduling without a separate rescheduling penalty where:
- the request is made at least thirty (30) days before the event;
- the Vendor is available on the requested replacement date;
- the scope remains substantially unchanged; and
- the Vendor has not incurred additional non-recoverable costs because of the change.
Any genuine incremental cost resulting from the change may still be charged after disclosure and User acceptance.
28. LATE RESCHEDULING
A User-requested rescheduling made within thirty (30) days before the scheduled event date may be subject to a Rescheduling Charge and/or reasonable additional costs in accordance with the applicable Rescheduling Category Schedule.
Any Rescheduling Charge shall be subject to the maximum limits stated in the applicable Rescheduling Category Schedule and shall not be automatic.
Any additional cost must be reasonably attributable to the requested rescheduling, properly disclosed to the User before confirmation of the replacement date, and must not duplicate an amount already recovered through the Rescheduling Charge or another charge.
The applicable Rescheduling Category Schedule shall determine the category-specific treatment of the request.
29. SECOND OR SUBSEQUENT RESCHEDULING
A second or subsequent User-requested date change may be treated as a cancellation and new booking, or may incur an additional charge disclosed before confirmation.
30. REPLACEMENT EVENT DATE
Unless otherwise agreed in writing between the User and the Vendor, a rescheduled event must ordinarily take place within six (6) months from the original event date.
The new date is subject to the Vendor’s availability and any applicable price adjustments, additional costs, or rescheduling conditions disclosed to the User before the rescheduling is confirmed.
For services involving perishables, seasonal pricing, travel, accommodation, specially ordered items, or other time-sensitive inventory or arrangements, a shorter rescheduling period may apply where such limitation was disclosed to the User.
31. PRICE CHANGES
Where the replacement date falls in a different season, calendar year, venue, location or service scope, legitimate price differences may apply.
The Vendor must disclose the adjustment before the User accepts the rescheduled booking.
32. VENDOR-REQUESTED RESCHEDULING
A Vendor may request rescheduling only for legitimate reasons.
The User is not required to accept a materially different event date.
Where the User reasonably declines a Vendor-requested material rescheduling, the transaction shall generally be treated as a Vendor-initiated cancellation.
PART V
FORCE MAJEURE
33. FORCE MAJEURE EVENT
A Force Majeure Event means an extraordinary event beyond the reasonable control of the affected party that materially prevents or makes performance legally impossible or impracticable.
Examples may include severe typhoons, earthquakes, major flooding, fire, government prohibition, declared emergencies, widespread transportation shutdowns or comparable extraordinary events.
34. EVENTS NOT ORDINARILY FORCE MAJEURE
Ordinary change of mind, insufficient funds, avoidable scheduling conflicts, ordinary traffic, predictable weather, low attendance or finding another Vendor at a lower price shall not ordinarily constitute Force Majeure.
35. RESCHEDULING FIRST
Where reasonably practicable, rescheduling shall be the preferred first remedy following a genuine Force Majeure Event.
Neither party should receive an unfair windfall from circumstances outside both parties' control.
36. FORCE MAJEURE REFUND
36A. ARCAMOR FORCE MAJEURE
To the fullest extent permitted by Article 1174 of the Civil Code of the Philippines and other applicable law, ARCAMOR shall not be liable for any delay, interruption, inability to process transactions through Must Celebrate, or other non-performance of its Platform obligations caused directly by a genuine Force Majeure Event beyond ARCAMOR's reasonable control, provided that ARCAMOR did not materially cause or aggravate the loss and uses commercially reasonable efforts to mitigate the impact. This does not alter mandatory consumer rights under Republic Act No. 7394 or other applicable law, and does not excuse fraud, willful misconduct, gross negligence, or obligations that cannot lawfully be excluded.
Where rescheduling is not reasonably possible, the User should ordinarily receive a refund of amounts paid less reasonable value for services already properly performed and legitimate, documented, non-recoverable booking-specific costs, subject to applicable law.
Ordinary lost profit should not automatically be treated as a non-recoverable cost.
PART VI
NO-SHOWS AND NON-PERFORMANCE
37. USER NO-SHOW
A User may be treated as a no-show where the User, without valid justification:
- fails to attend;
- fails to provide access;
- fails to deliver required materials;
- or otherwise prevents the Vendor from reasonably performing on the scheduled event date.
A User no-show may result in the forfeiture of some or all amounts already paid for the affected service, up to 100%, provided that the Vendor was ready, willing, and reasonably able to perform the booked service on the scheduled event date. Any forfeiture shall be subject to the applicable cancellation and refund terms disclosed at the time of booking and applicable law.
38. VENDOR NO-SHOW
A Vendor's unjustified failure to appear, deliver or substantially perform a confirmed service constitutes serious non-performance.
The User shall ordinarily be entitled to a full refund for the unperformed service.
Additional Platform action against the Vendor may apply.
39. PARTIAL NON-PERFORMANCE
Where a Vendor performs only part of the confirmed service, the appropriate remedy may include a proportional refund rather than cancellation of the entire booking.
Materiality, value delivered and the circumstances shall be considered.
40. MATERIAL SERVICE FAILURE
Where the service actually delivered materially differs from the confirmed booking, the User may submit a complaint through Must Celebrate.
Examples of a Material Service Failure may include a material reduction in the agreed quantity, provision of materially different products or services, significant failure to provide contracted inclusions, or other substantial deviations from the confirmed booking.
Where a Material Service Failure is established, the appropriate remedy shall be determined according to the nature, severity and extent of the failure and the portion of the contracted service that was actually performed.
Depending on the circumstances, the remedy may include:
- correction or completion of the affected service, where reasonably possible;
- a proportionate partial refund for the affected portion of the service;
- a full refund of the affected service where the Vendor substantially failed to provide the contracted service; or
- such other reasonable remedy as may be agreed between the User and Vendor or required by applicable law.
Any refund shall ordinarily relate only to the affected service or affected portion of the booking and shall not automatically result in the refund of unrelated services that were properly performed.
ARCAMOR may require through Must Celebrate, the User and Vendor to provide reasonable supporting evidence, including photographs, videos, communications, booking details, delivery records or other relevant documentation, before processing or facilitating a resolution.
Minor variations, personal preferences, or subjective dissatisfaction that do not constitute a material deviation from the confirmed booking shall not, by themselves, entitle the User to a partial or full refund.
Nothing in this Policy limits any rights or remedies available to the User under applicable Philippine consumer protection laws.
PART VII
REFUND ADMINISTRATION
41. REFUND REQUEST
Refund requests should be initiated through Must Celebrate where the original transaction was processed through the Platform.
42. REFUND METHOD
Approved refunds shall ordinarily be returned through the original payment method where reasonably practicable.
Alternative methods may be used where necessary and legally permissible.
43. REFUND PROCESSING PERIOD
ARCAMOR shall initiate an approved refund through the applicable payment channel within fourteen (14) business days following final approval of the refund.
Once ARCAMOR has initiated the refund through the applicable payment channel, the time required for the refunded amount to appear in the User's bank account, payment card, electronic wallet, or other payment account will depend upon the applicable payment processor, financial institution, card issuer, or electronic wallet provider.
Any additional processing or posting time imposed by such third-party provider is outside ARCAMOR's control. This does not affect ARCAMOR's obligation to timely initiate an approved refund in accordance with this Policy and applicable law.
44. VENDOR PAYOUT NOT YET RELEASED
Where Vendor funds have not yet been released, ARCAMOR may apply properly refundable amounts against those funds where permitted under the Must Celebrate Vendor Terms & Marketplace Agreement, Payment & Payout Policy and applicable law.
45. VENDOR PAYOUT ALREADY RELEASED
Where funds have already been paid to the Vendor, the Vendor shall return amounts properly determined to be refundable.
ARCAMOR may offset properly due amounts against future Vendor payouts where permitted by the Must Celebrate Vendor Terms & Marketplace Agreement and applicable law.
46. CHARGEBACKS
A chargeback initiated by a User through their bank, card issuer, or payment service provider shall be handled in accordance with the applicable payment-network, card-scheme, and payment-provider rules.
Where a User has a dispute concerning a transaction, the User is encouraged to contact ARCAMOR through Must Celebrate's designated support channel so that the matter may be reviewed and resolved where possible, without limiting any rights the User may have under applicable law or the rules of their bank, card issuer, or payment provider.
ARCAMOR may investigate chargebacks that appear to be fraudulent, unauthorized, or abusive, including repeated or intentionally misleading chargeback claims. Where permitted by applicable law, such activity may result in appropriate action being taken in relation to the User's account.
47. NO DOUBLE REFUND
A User may not obtain duplicate recovery from ARCAMOR in connection with a Must Celebrate transaction and from a payment provider for the same amount.
48. GIFT FUND REFUND
Refunds of amounts contributed to a Must Celebrate Gift Fund are governed primarily by the Must Celebrate Gift Fund Terms & Policy and, where applicable, the Payment & Payout Policy.
Gift Fund contributions shall not automatically be treated as Vendor booking payments and shall not automatically be subject to the Cancellation Charges or Category Schedules applicable to Vendor services under this Policy.
Where an Event is cancelled, does not materialize, is determined to be fictitious or fraudulent, or where another circumstance gives rise to a Gift Fund refund, the eligibility, amount, method, timing, applicable fees, and treatment of any portion already used or withdrawn shall be determined in accordance with the Gift Fund Terms & Policy.
Where a Gift Fund balance has already been validly used to pay an eligible Vendor booking, the treatment of that Vendor payment shall be governed by the applicable cancellation, refund, Vendor payout, and dispute provisions governing that booking.
ARCAMOR may temporarily restrict Gift Fund withdrawals while a refund, fraud review, chargeback, Event-verification review, or other legitimate investigation is pending.
PART VIII
DISPUTES
49. INTERNAL DISPUTE PROCESS
Where a User and Vendor disagree regarding cancellation, refund, rescheduling, no-show or performance, either party may submit a dispute through Must Celebrate.
50. EVIDENCE
ARCAMOR may consider relevant evidence including:
- booking details;
- platform communications;
- quotations;
- invoices;
- photographs or videos;
- delivery records;
- payment records;
- production records;
- receipts supporting Committed Costs;
- event information;
- and other reasonably relevant evidence.
50A. DISPUTE SUBMISSION WINDOW
49AA. EFFECT ON POST-EVENT PAYOUT
To avoid release of Vendor funds before expiry of the ordinary Event-related dispute window, any Performance Balance otherwise eligible for post-Event payout shall not be processed before the ordinary seven (7)-calendar-day dispute submission period has fully expired. Unless an earlier release is expressly permitted under the Must Celebrate Vendor Payment & Payout Policy after User completion confirmation and no material issue exists, ordinary payout processing should begin no earlier than the next processing day following expiry of that period, subject to any dispute, refund, chargeback, investigation, reserve, or hold.
A dispute principally concerning Vendor performance, non-performance, no-show, material service failure or Event-day delivery should ordinarily be submitted through Must Celebrate within seven (7) calendar days after the scheduled Event date or actual service date, whichever is applicable.
A dispute principally concerning a payment, refund, reversal or other issue discovered after the Event should ordinarily be submitted within seven (7) calendar days after the User or Vendor became aware, or reasonably should have become aware, of the issue.
These internal submission periods are intended to support timely investigation and do not extinguish rights, remedies or complaint periods that cannot lawfully be restricted under applicable Philippine law. ARCAMOR may also consider a later complaint where fraud, latent defects, delayed discovery, incapacity, technical failure or another reasonable circumstance justifies doing so.
50B. EVIDENCE SUBMISSION AND RESPONSE
After notice of a dispute, each affected party should ordinarily submit requested supporting evidence within three (3) business days. ARCAMOR may allow a reasonable extension where the evidence cannot reasonably be obtained within that period.
Where a response from the other party is required, that party should ordinarily respond within three (3) business days after receiving the dispute notice or evidence request. Failure to respond does not automatically determine the dispute, but ARCAMOR may proceed using the reasonably available records and evidence.
50C. INTERNAL REVIEW TARGET
ARCAMOR will use reasonable efforts to complete its internal review or communicate the next material resolution step within seven (7) business days after receiving substantially complete evidence from the affected parties. Complex matters involving a payment provider, chargeback, fraud review, third-party records, multiple Vendors or legal issues may require additional time.
51. ARCAMOR'S ROLE
ARCAMOR may administer the Platform's internal transaction-resolution process and determine Platform actions based on this Policy.
ARCAMOR does not thereby become the provider of the underlying Vendor service or a court or arbitral tribunal.
52. CONSUMER RIGHTS
Nothing in this dispute process prevents a User or Vendor from exercising rights available under applicable Philippine law or before competent government authorities or courts.
PART IX
CANCELLATION CATEGORY SCHEDULES
The following schedules establish the standard Must Celebrate commercial cancellation framework.
Where a service is substantially customized, production-based or subject to documented non-recoverable commitments, the special conditions stated for the category may modify the standard percentage.
SCHEDULE 1
VENUES / RESORT
Because venues reserve finite date and capacity inventory:
Cancellation — Standard Cancellation Charge - 61+ days: 10% - 31–60 days: 20% - 15–30 days: 30% - 8–14 days: 50% - 7 days or less: 75% - Event day / No-show: Up to 100%
Reasonable non-recoverable third-party costs specifically committed for the event may additionally be considered subject to the prohibition against double recovery.
SCHEDULE 2
CATERING AND FOOD STATIONS
Cancellation — Standard Cancellation Charge - 31+ days: 10% - 15–30 days: 20% - 8–14 days: 30% - 4–7 days: 50% - 72 hours or less: Up to 80% - Event day / after substantial preparation: Up to 100%
Food and ingredients already specifically purchased and not reasonably reusable may constitute Committed Costs.
Final Guaranteed Headcount and Headcount Cut-Off
For services priced, reserved, purchased, prepared, or staffed based on the number of guests, including catering, food and beverage services, venues, rentals, event packages, and similar services, the Vendor may establish a deadline for confirmation of the final guaranteed headcount (“Headcount Cut-Off”).
The Vendor must clearly disclose its applicable Headcount Cut-Off and any related cancellation, reduction, or adjustment conditions to the User before the booking is confirmed.
If the Vendor does not disclose a Headcount Cut-Off before booking, the default Headcount Cut-Off shall be seven (7) calendar days before the scheduled event date.
Before the applicable Headcount Cut-Off, the User may request a reduction in headcount, subject to the booking terms and any reasonable and documented Committed Costs already incurred by the Vendor.
After the applicable Headcount Cut-Off, the last confirmed headcount shall become the Final Guaranteed Headcount. A subsequent reduction in the number of guests shall not automatically entitle the User to a corresponding reduction, credit, or refund where the Vendor has already incurred or committed reasonable costs based on the Final Guaranteed Headcount.
Any increase in headcount after the Headcount Cut-Off shall be subject to the Vendor’s availability, capacity, acceptance, and any applicable additional charges.
A Vendor may establish a Headcount Cut-Off that differs from Must Celebrate’s default seven (7)-calendar-day period, provided that the alternative deadline and its applicable conditions were clearly disclosed to and accepted by the User before the booking was confirmed. A Vendor may not impose a new or more restrictive Headcount Cut-Off after booking without the User’s express agreement.

Custom-built décor, printed graphics and perishable flowers already ordered may be treated as committed costs.

SCHEDULE 7
ENTERTAINMENT & PERFORMERS
Cancellation — Standard Cancellation Charge - 61+ days: 10% - 31–60 days: 20% - 15–30 days: 30% - 8–14 days: 50% - 7 days or less: 75% - Event day: Up to 100%

Any separate damage, security, or rental deposit is distinct from the applicable cancellation charge. Such deposit shall be refunded in accordance with the applicable rental terms, provided that no damage, loss, or other valid deduction applies. Any permitted deduction from the deposit shall be based on the actual amount incurred or otherwise permitted under the applicable rental terms.
SCHEDULE 10
PLANNERS & COORDINATORS
Because professional work begins before the event, cancellation should recognize work actually completed.
Cancellation — Standard Cancellation Charge - 61+ days: 10% plus completed separately identifiable work - 31–60 days: 20% plus completed work - 15–30 days: 30% plus completed work - 8–14 days: 40% plus completed work - 7 days or less: Up to 50% plus completed work - Event day: Up to 100%

NON-CUSTOM STOCK PRODUCTS
For ordinary, ready-made, non-customized stock products, the customization-stage cancellation percentages above shall not apply.
Where the User cancels an order for a non-custom stock product before dispatch or delivery, the User shall ordinarily be entitled to a refund of the amount paid for the affected product, less any reasonable, properly disclosed, and non-recoverable costs already incurred specifically for the order, where permitted by applicable law.
Once the product has been dispatched, delivered, or otherwise made available to the User in accordance with the confirmed order:
a mere change of mind, change of preference, change of event theme, excess quantity ordered, or decision that the product is no longer needed shall not automatically entitle the User to a refund or exchange;
a Vendor may voluntarily allow a return or exchange under a more favorable return policy disclosed before purchase;
where a return is voluntarily accepted for a non-defective product, the product must ordinarily be unused, complete, undamaged, and in substantially its original saleable condition, together with any packaging or accessories reasonably required by the Vendor's disclosed return terms;
reasonable return-delivery or shipping costs for a voluntary change-of-mind return may be borne by the User where this was properly disclosed and permitted by applicable law; and
ARCAMOR may require reasonable evidence of the product condition before processing or facilitating a voluntary return.
Nothing in this Section limits any mandatory right or remedy available to the User where the product is:
- defective;
- damaged other than through User mishandling;
- materially different from the confirmed order or description;
- counterfeit or fake;
- materially misrepresented;
- unsafe or non-compliant with applicable product requirements;
- incomplete where completeness was part of the confirmed order; or
- otherwise subject to a mandatory repair, replacement, refund, or other remedy under applicable law.
A Vendor shall not rely on a “No Return, No Exchange,” “Final Sale,” or similar statement to exclude rights that cannot lawfully be waived or restricted.
SCHEDULE 16
TRANSPORTATION & TRAVEL
Cancellation — Standard Cancellation Charge - 31+ days: 10% - 15–30 days: 20% - 8–14 days: 30% - 3–7 days: 50% - Less than 72 hours: 75% - Dispatch / no-show: Up to 100%

SCHEDULE 18
FUNERAL & MEMORIAL
Because these services are often arranged urgently, ordinary advance-event cancellation windows may be inappropriate.
Refundability shall principally depend upon services actually performed and goods actually committed.
Stage — Standard Treatment - Before Vendor begins substantive performance: Amount paid less reasonable administrative/committed cost - Some services performed: Refund remaining unused portion - Third-party goods/services irrevocably committed: Deduct legitimate committed amount - Custom memorial goods produced: Production-stage rules apply - Service substantially completed: Corresponding performed amount payable
Must Celebrate and Vendors should administer these cases sensitively, promptly and without unnecessary procedural burden.
SCHEDULE 19
EVENT STAFF, LOGISTICS & SUPPORT
Cancellation — Standard Cancellation Charge - 31+ days: 10% - 15–30 days: 20% - 8–14 days: 30% - 3–7 days: 50% - Less than 72 hours: 75% - Staff dispatched / Event day: Up to 100%
Amounts already properly paid or contractually committed to event-specific personnel may be considered where documented.
SCHEDULE 20
ALL-IN PACKAGES
An All-in Package may contain services governed by multiple Category Schedules.
A User cancellation shall therefore not automatically apply one percentage to the entire package where doing so would produce an unreasonable result.
Where reasonably practicable, the package shall be broken down into its principal components.
For example:
Venue + Catering + Styling + Photography + Coordinator
may be evaluated using the applicable cancellation treatment of each component.
Where component pricing is not separately stated, ARCAMOR may use the Vendor's documented allocation, confirmed quotation, ordinary standalone prices or another reasonable allocation methodology.
The Vendor must not artificially allocate excessive value to supposedly non-refundable components after cancellation.
For ordinary early cancellation before substantial work or commitments have occurred, the general cancellation framework may be applied.
PART X
RESCHEDULING CATEGORY SCHEDULE
This Rescheduling Category Schedule forms part of the Must Celebrate Cancellation, Rescheduling & Refund Policy, issued and administered by ARCAMOR, and supplements Section 28 – Late Rescheduling.
This Schedule applies only to the determination of category-specific rescheduling charges and additional costs where a User requests rescheduling within thirty (30) days before the scheduled event.
All other rescheduling matters shall remain governed by Sections 26 to 32 of the Cancellation, Rescheduling & Refund Policy.
1. STANDARD LATE RESCHEDULING WINDOWS
Unless a Category-specific provision below provides otherwise:
Timing of User Rescheduling Request — Maximum Rescheduling Charge - 15–30 days before event: Up to 5% of Booking Value - 8–14 days before event: Up to 10% of Booking Value - 4–7 days before event: Up to 15% of Booking Value - 72 hours or less before event: Up to 20% of Booking Value
The percentages above are maximum limits and are not automatic entitlements.
The Vendor may charge only an amount reasonably attributable to the operational, administrative, scheduling, or commercial impact of the requested date change.
Legitimate additional non-recoverable costs specifically caused by the rescheduling may also be charged where properly disclosed and reasonably substantiated.
A Vendor shall not obtain double recovery for the same cost through both a Rescheduling Charge and separately claimed additional costs.
CATEGORY-SPECIFIC RESCHEDULING RULES
SCHEDULE R1
VENUES / RESORTS
Because venue bookings reserve finite date and capacity inventory:
Rescheduling Timing — Maximum Rescheduling Charge - 15–30 days: 5% - 8–14 days: 10% - 4–7 days: 15% - 72 hours or less: Up to 20%
A replacement date remains subject to venue availability.
Reasonable third-party rebooking charges or date-specific commitments may additionally apply where non-recoverable.
SCHEDULE R2
CATERING AND FOOD STATIONS
Rescheduling Timing — Maximum Rescheduling Charge - 15–30 days: 5% - 8–14 days: 10% - 4–7 days: 15% - 72 hours or less: Up to 20%
Ingredients, perishables, staffing, rentals, or other event-specific items already committed and not reasonably reusable may be charged separately as legitimate additional costs.
SCHEDULE R3
CAKES, DESSERTS & SWEETS
For customized or production-based products, production stage may take precedence over timing.
Production Status at Rescheduling — Treatment - Production not commenced: Standard rescheduling window applies - Custom materials or elements already ordered: Standard charge plus legitimate additional costs - Production commenced: Reasonable additional production or remake costs may apply - Product substantially completed: Rescheduling may not preserve the original product; replacement production may require a new charge
The Vendor may not charge twice for the same completed or reusable work.
SCHEDULE R4
DRINKS, COFFEE & MOBILE BARS
Standard rescheduling percentages apply.
Event-specific perishables, customized ingredients, staffing, transport, equipment reservations, or third-party commitments that cannot reasonably be transferred to the replacement date may be charged separately.
SCHEDULE R5
STYLING, DÉCOR & FLOWERS
Standard rescheduling percentages apply.
Additional costs may reasonably arise from:
- perishable flowers;
- custom fabrication;
- event-specific printing;
- supplier rebooking;
- transport;
- rentals; or
- date-specific materials.
Reusable décor or equipment should not ordinarily be charged again where it can reasonably be used on the replacement date.
SCHEDULE R6
PHOTO, VIDEO & MEMORIES
Because these services are date-reservation dependent, the replacement date is subject to availability of the originally booked professional or team.
Standard rescheduling percentages apply.
Completed pre-event shoots, editing, travel bookings, permits, accommodation, or other separately completed or non-recoverable work remain separately chargeable where applicable.
SCHEDULE R7
ENTERTAINMENT & PERFORMERS
Standard rescheduling percentages apply.
The replacement date is subject to availability of the specific performer, entertainer, host, musician, DJ, or talent booked.
Reasonable non-recoverable travel, accommodation, rehearsal, technical, or subcontractor commitments may additionally apply.
SCHEDULE R8
LIGHTS, SOUNDS & PRODUCTION
Standard rescheduling percentages apply.
Additional reasonable costs may apply where equipment, technical personnel, subcontractors, freight, transport, or installation resources have already been specifically committed for the original date.
SCHEDULE R9
RENTALS & PARTY EQUIPMENT
Standard rescheduling percentages apply.
Where equipment remains available for the replacement date, the original booking value should ordinarily continue to apply subject to legitimate additional handling, transport, storage, staffing, or third-party rebooking costs.
SCHEDULE R10
PLANNERS & COORDINATORS
Because planning work may continue regardless of the change in event date, completed work remains payable.
Standard rescheduling percentages apply only to the additional impact caused by changing the event date.
The Vendor may charge additional amounts for substantial repeated work caused specifically by the rescheduling, including:
- supplier re-coordination;
- timeline revision;
- logistics revision;
- replacement sourcing; or
- substantial new planning work.
Work that does not need to be repeated shall not be charged again.
SCHEDULE R11
FASHION & ATTIRE
For ordinary rental items, standard rescheduling percentages apply subject to availability on the replacement date.
For made-to-measure or customized garments, no Rescheduling Charge should ordinarily apply merely because the event date changes where the completed garment remains usable.
Reasonable additional costs may apply for further alterations, storage, preservation, re-sizing, replacement materials, or other work directly caused by the rescheduling.
SCHEDULE R12
BEAUTY & GROOMING
Standard rescheduling percentages apply.
The replacement booking remains subject to availability of the originally booked professional or team.
Reasonable non-recoverable travel, staffing, accommodation, or preparation costs may additionally apply.
SCHEDULE R13
JEWELRY & ACCESSORIES
For completed or substantially completed customized products, a change in event date alone shall not ordinarily create a separate Rescheduling Charge where the product remains usable.
Where the requested change requires modification, re-engraving, resizing, reproduction, or other additional work, the reasonable cost of that work may be separately charged.
SCHEDULE R14
INVITATIONS, PRINTING & DIGITAL
Where materials have not entered production, the standard rescheduling percentages may apply where appropriate.
Where the event date has already been printed, produced, encoded, or incorporated into completed materials, the cost of necessary reprinting, reproduction, or revision may be charged separately.
Completed work that remains usable shall not be charged again.
SCHEDULE R15
GIFTS, SOUVENIRS & GIVEAWAYS
A change in event date shall not ordinarily result in a separate charge where completed products remain usable.
Where the date change requires reproduction, relabeling, reprinting, repackaging, modification, storage, or additional production, the reasonable additional cost may be charged.
SCHEDULE R16
TRANSPORTATION & TRAVEL
Standard rescheduling percentages apply.
The replacement date remains subject to vehicle, driver, transport, accommodation, and travel availability.
Documented non-refundable or changeable third-party travel costs may be charged according to the actual cost incurred.
SCHEDULE R17
ACTIVITIES, BOOTHS & EXPERIENCES
Standard rescheduling percentages apply.
Additional reasonable costs may apply for:
- personnel rebooking;
- equipment reservation;
- transport;
- venue coordination;
- subcontractors; or
- event-specific materials.
SCHEDULE R18
FUNERAL & MEMORIAL SERVICES
Because funeral and memorial services may be arranged urgently, ordinary event-date rescheduling percentages may not always be appropriate.
Rescheduling treatment shall instead depend primarily on:
- services already performed;
- goods already produced;
- third-party commitments already made; and
- whether remaining services can reasonably be transferred to the replacement date.
Only additional costs reasonably caused by the change should ordinarily be charged.
SCHEDULE R19
EVENT STAFF, LOGISTICS & SUPPORT
Standard rescheduling percentages apply.
Amounts already committed to event-specific personnel, transport, accommodation, subcontractors, or logistics may additionally be considered where they cannot reasonably be recovered or transferred to the replacement date.
SCHEDULE R20
ALL-IN PACKAGES
Where an All-in Package contains multiple service categories, rescheduling treatment should ordinarily be assessed by reference to the affected components.
For example:
Venue + Catering + Styling + Photography + Coordinator
may involve different actual consequences from the date change.
Where component pricing is separately stated, the applicable Rescheduling Schedule may be applied to each affected component.
Where component pricing is not separately stated, ARCAMOR may use a reasonable allocation based on:
- the confirmed quotation;
- the Vendor's documented allocation;
- ordinary standalone pricing; or
- another reasonable allocation methodology.
A Vendor may not artificially allocate excessive amounts to components that are more difficult or expensive to reschedule.
GENERAL LIMIT
For all categories, the total amount charged because of rescheduling must remain reasonable and shall not duplicate:
- amounts already charged for completed work;
- existing committed costs already recovered;
- the same loss under another fee; or
- amounts unrelated to the requested rescheduling.
The Rescheduling Charge is payable for the benefit of the affected Vendor and is separate from any Platform Fee, Processing Fee, or other charge payable to ARCAMOR in connection with the Must Celebrate Platform, which shall be governed by the applicable ARCAMOR-issued Must Celebrate policies.
PART XI
FINAL PROVISIONS
53. FAIR APPLICATION
This Policy is intended to provide standardized marketplace rules.
ARCAMOR may correct obvious calculation errors and may consider exceptional circumstances where strict mechanical application would clearly conflict with applicable law or produce an unreasonable result.
ARCAMOR shall not arbitrarily deprive either party of amounts properly due.
54. VENDOR PRIVATE POLICIES
Where ARCAMOR permits Vendor-specific options through Must Celebrate, those conditions must be disclosed through the Platform before confirmation.
55. ANTI-CIRCUMVENTION
Neither User nor Vendor may use cancellation, refund or rescheduling mechanisms principally to circumvent circumvent ARCAMOR Platform Fees or transaction requirements applicable to transactions conducted through Must Celebrate..
Vendor violations remain subject to the Vendor Marketplace Agreement.
56. AMENDMENTS
ARCAMOR may amend this Policy prospectively.
Material amendments shall be communicated through reasonable means.
Existing confirmed bookings shall ordinarily remain governed by the Policy version applicable when booked.
57. ORDER OF PRECEDENCE
56A. SUBJECT-MATTER HARMONIZATION

58. GOVERNING LAW
ARBITRATION
Except for matters that cannot lawfully be submitted to arbitration, disputes that remain unresolved after the applicable internal dispute process may, where the parties validly agree in writing, be resolved by arbitration in accordance with Republic Act No. 9285, Republic Act No. 876 where applicable, and applicable Philippine arbitration rules. The legal seat and exclusive arbitral venue shall be the City of Santa Rosa, Laguna, Philippines. The arbitration proceedings shall be conducted in the English language. Unless the parties validly agree otherwise, the tribunal shall consist of one (1) arbitrator. The arbitral award shall be final and binding to the extent permitted by law and may be enforced in a court of competent jurisdiction. Nothing in this clause prevents a party from seeking urgent interim or conservatory relief from a competent court, nor does it restrict any non-waivable consumer, regulatory, privacy, or statutory remedy.
PHILIPPINE STATUTORY COMPLIANCE
These Terms and the applicable Must Celebrate policies shall be interpreted and administered in accordance with the laws of the Republic of the Philippines, including Republic Act No. 386 (Civil Code of the Philippines), Republic Act No. 7394 (Consumer Act of the Philippines) where applicable to consumer transactions, Republic Act No. 10173 (Data Privacy Act of 2012) for personal-data processing, Republic Act No. 9285 (Alternative Dispute Resolution Act of 2004) where arbitration or other ADR is validly used, and other applicable statutes, regulations, and mandatory rules. Nothing in these Terms waives or limits a right, remedy, jurisdiction, complaint mechanism, or protection that cannot lawfully be waived or restricted.
This Policy shall be governed by the laws of the Republic of the Philippines.
